WHEREAS

WHEREAS, Photographer is engaged in the business of professional photographic services specializing in newborn portraiture and related products; and

WHEREAS, Client desires to retain Photographer to perform a newborn photography session under the terms and conditions set forth herein and Photographer agrees to provide such services for the fees and on the schedule set forth below.

Cancellation & Rescheduling

If Client cancels the session more than prior to the scheduled session, the retainer may be applied to a rescheduled session within . Cancellation within the specified period prior to the session results in forfeiture of the retainer.

Client affirms that the newborn and other participants are in good health on the session date and will disclose any contagious conditions prior to the session. Photographer will follow standard newborn safety practices; Client remains responsible for supervision of the newborn and release of any claims for minor incidents due to pre-existing conditions or undisclosed health issues.

Copyright, Usage & Model Release

Copyright in all photographs is retained by Photographer. Photographer grants Client a non-exclusive, non-transferable license to use delivered images for personal, non-commercial use, including printing and social media sharing, provided Photographer credit is included where reasonably practicable.

Client hereby grants Photographer permission to use images for Photographer's portfolio, marketing, and promotional purposes unless Client indicates restriction by selecting:

Confidentiality

Each party agrees to maintain the confidentiality of the other party's confidential information disclosed in connection with this Agreement. Confidential information does not include information that is publicly known through no fault of the receiving party or information required to be disclosed by law.

Limitation of Liability & Indemnity

Photographer's liability for any claim arising under this Agreement shall be limited to direct damages not to exceed the total amount paid by Client to Photographer under this Agreement. Photographer is not liable for indirect, incidental, or consequential damages. Client agrees to indemnify and hold Photographer harmless from claims arising from Client's breach of this Agreement, misuse of images, or failure to disclose material health information.

Term and Termination
