PHOTOGRAPHY PHOTO AGREEMENT

This Photography Photo Agreement ("Agreement") is made and entered into as of by and between Photographer: , with business address , and Client: , with address .

RECITALS

WHEREAS, Photographer is a professional photographer engaged in the business of providing photographic services, equipment and personnel; and

WHEREAS, Client desires to retain Photographer to provide photographic services for the project described below on the terms and conditions set forth in this Agreement; and

WHEREAS, Photographer is willing to provide such services and grant usage rights to Client pursuant to the terms of this Agreement.

SCOPE OF WORK

Photographer shall provide photographic services as described herein. The specific services, deliverables, locations, dates, staffing and any special instructions must be set forth in the Scope of Work below. Photographer agrees to provide the services with reasonable skill and care in a professional manner.

PAYMENT TERMS

Client shall pay Photographer the fees described below in consideration for the services and deliverables. All amounts are payable in U.S. dollars unless otherwise agreed in writing.

Deposit will secure booking and is non-refundable except as expressly provided below.

Amounts unpaid more than 10 days after the due date shall accrue a late fee as specified above and interest at the lesser of 1.5% per month or the maximum rate permitted by applicable law. Client shall also reimburse Photographer for reasonable collection costs, including attorney fees.

TERM; TERMINATION

This Agreement commences on the Start Date and continues until the obligations of the parties have been fulfilled or until terminated as provided below.

Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure the breach within the notice period above after written notice. If Client cancels within 14 days of a scheduled shoot, Client remains responsible for any non-recoverable costs and a cancellation fee equal to the deposit unless otherwise agreed in writing.

DELIVERY; RETOUCHING

Photographer shall deliver final edited images in the formats and resolution set out below within the delivery timeframe. Delivery deadline: .

OWNERSHIP AND LICENSE

Photographer retains all copyrights and moral rights in the photographs and digital images produced pursuant to this Agreement, except as expressly licensed below. Photographer grants Client a non-exclusive, non-transferable license to use the delivered images for the purposes and media described in the license below, subject to full payment and the terms of this Agreement.

Any use beyond the licensed uses (including sublicensing, sale of images, extended advertising campaigns, or exclusive rights) requires a separate written agreement and additional compensation.

CONFIDENTIALITY

Each party agrees to maintain the confidentiality of the other party's proprietary information disclosed in connection with this Agreement. Confidential information does not include information that is or becomes public other than by breach of this Agreement, is already known without restriction, or is rightfully received from a third party without obligation of confidentiality.

The obligations under this section shall survive termination of this Agreement for a period of two (2) years.

WARRANTIES; INDEMNIFICATION

Each party represents that it has the full right and authority to enter into this Agreement. Photographer warrants that the services will be performed in a professional manner. Photographer does not warrant results or guarantee specific business outcomes. Client shall indemnify and hold Photographer harmless from claims arising from Client's misuse of the images or Client-supplied materials or instructions that infringe third-party rights.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflict of laws rules. The parties submit to the exclusive jurisdiction of the courts located in that state for disputes arising under this Agreement, except where mandatory arbitration is agreed in writing.

ENTIRE AGREEMENT

This Agreement, including any written attachments, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, and communications, whether oral or written. Any amendment or modification must be in writing and signed by both parties.

MISCELLANEOUS

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. Neither party may assign this Agreement without the prior written consent of the other, except that Photographer may assign to an affiliated entity or in connection with a sale of substantially all of its assets.
