This Photography Photo Consent Agreement ("Agreement") is entered into by and between Photographer Name: and Subject / Model Name: .

WHEREAS, Photographer is engaged in the business of professional photography and related visual media and shall provide photographic services as described below; and

WHEREAS, Subject desires to grant Photographer the rights to use certain photographs and likeness for the purposes and on the terms set forth herein; and

WHEREAS, the parties intend by this Agreement to set forth the terms governing the creation, use, ownership, and permitted exploitation of the photographs and related materials.

CONSENT / GRANT OF RIGHTS

Subject hereby irrevocably authorizes Photographer and Photographer's assigns, licensees and successors to use, reproduce, display, distribute, publish, create derivative works of, and otherwise exploit the photographs and digital images (collectively, "Photographs") that are taken of Subject in connection with the Scope of Work. This grant includes a perpetual, worldwide, royalty-free, transferable and sublicensable right and license to use the Photographs in any media now known or hereafter devised for commercial, promotional, educational, editorial, advertising, social media, and other lawful purposes.

Subject waives any right to inspect or approve the final product or the specific uses of the Photographs, and releases Photographer from any claims for libel, invasion of privacy, or other claims arising out of the use of the Photographs as permitted by this Agreement, provided such use is not unlawful or defamatory.

PAYMENT TERMS

All payments are due as specified above. Late payments shall accrue the Late Fee listed above, and Photographer may suspend delivery of deliverables until all outstanding payments and fees are paid in full. Photographer's acceptance of late payment does not constitute a waiver of any breach.

TERM AND TERMINATION

The term of this Agreement commences on Start Date: and continues until End Date: unless earlier terminated as provided herein.

Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure the breach within the Notice Period after written notice. Termination does not affect Photographer's right to be paid for work completed or to retain usage rights granted prior to termination.

CONFIDENTIALITY

Each party will keep confidential and not disclose to any third party any non-public information designated as confidential by the other party in writing, including business terms, unpublished images prior to agreed release, and personal contact information, except to the extent disclosure is required by law or reasonably necessary to enforce rights under this Agreement. Photographer may disclose Photographs to printers, agents, contractors or licensees under confidentiality obligations no less protective than those in this Agreement.

REPRESENTATIONS, WARRANTIES, AND INDEMNITY

Subject represents and warrants that Subject is at least eighteen (18) years of age and has full right and authority to grant the rights herein. If Subject is a minor, the undersigned parent or legal guardian represents and warrants authority to sign on behalf of the minor. Subject and Photographer each agree to indemnify and hold harmless the other from and against any claims, liabilities, damages or expenses arising from a breach of a representation or warranty or from unauthorized uses outside the scope of this Agreement.

CREDIT AND ATTRIBUTION

Photographer will make reasonable efforts to provide credit for the Subject when images are used in editorial or promotional materials where credit is customary. Subject acknowledges that the Photographer is not obligated to give credit in every instance of use.

LIMITATION OF LIABILITY

Except for liability arising from gross negligence or willful misconduct, the total liability of Photographer for any claim arising under this Agreement shall not exceed the total fees paid by Subject to Photographer under this Agreement. In no event shall Photographer be liable for incidental, consequential or punitive damages.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles.

ENTIRE AGREEMENT; AMENDMENT

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals and communications, whether oral or written. Any amendment or modification of this Agreement must be in writing and signed by both parties.

MISCELLANEOUS PROVISIONS

If any provision of this Agreement is found unenforceable, the remaining provisions shall remain in full force and effect. Neither party may assign this Agreement except that Photographer may assign its rights to an affiliate or successor in connection with a sale of substantially all related business assets.
