PHOTOGRAPHY PHOTO PROJECT AGREEMENT

RECITALS

WHEREAS, Photographer is a professional photographer engaged in the business of producing photographic images, and possesses the skill, equipment and personnel necessary to perform the photography services described in this Agreement; and

WHEREAS, Client desires to retain Photographer to create photographic works for the project identified below on the terms set forth herein; and

WHEREAS, Photographer and Client desire to set forth the scope of work, payment, ownership and license terms, confidentiality and other terms in writing.

SCOPE OF WORK

PAYMENT TERMS

Client agrees to pay Photographer the fees and expenses set forth below in consideration for the services and deliverables.

Late payments incur a late fee of per month on overdue amounts, and Client will also be responsible for collection costs and any applicable interest permitted by law.

TERM AND TERMINATION

This Agreement commences on Start Date: and will continue until End Date: unless earlier terminated in accordance with this Agreement.

Either party may terminate this Agreement for material breach if the breaching party fails to cure such breach within days after receipt of written notice. Termination by Client without breach may require payment of cancellation fees as set forth above.

INTELLECTUAL PROPERTY & LICENSE

Photographer retains copyright in all images created under this Agreement unless a separate written transfer is executed. Photographer grants Client a limited, non-exclusive, non-transferable license to use the delivered images for the uses expressly set forth in this Agreement. Any uses beyond the agreed license (including resale, sublicensing, or use in products for resale) require additional written license and additional fees. Client shall not remove Photographer's copyright management information or watermark.

CONFIDENTIALITY

Each party agrees to maintain in confidence and not disclose to third parties any Confidential Information received from the other party, except as required to perform obligations under this Agreement or as required by law. Confidential Information includes but is not limited to pricing, unpublished creative concepts, budgets, client lists, and non-public business information.

INDEMNIFICATION; LIMITATION OF LIABILITY

Each party shall indemnify, defend and hold harmless the other party from third-party claims arising out of the indemnifying party's gross negligence or willful misconduct. Photographer's liability for any claim arising from this Agreement shall be limited to direct damages not to exceed the total fees paid by Client under this Agreement. In no event shall either party be liable for incidental, consequential or punitive damages.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles. Venue for any dispute shall be the state or federal courts located in that state.

ENTIRE AGREEMENT; AMENDMENT

This Agreement, including any attachments or schedules signed by the parties, constitutes the entire agreement between Photographer and Client with respect to the subject matter hereof and supersedes all prior negotiations and understandings. Any amendment or waiver must be in writing and signed by both parties.

MISCELLANEOUS

If any provision of this Agreement is held unenforceable, the remaining provisions will remain in full force. Neither party may assign this Agreement without the prior written consent of the other, except to a successor in interest to substantially all of the assigning party's business.
