WHEREAS, Photographer is a professional photographer engaged in the business of creating photographic images and related media; and

WHEREAS, Subject seeks to engage the Photographer to create certain photographic images and grants Photographer certain rights to use those images as set forth in this Release; and

WHEREAS, the parties wish to define the scope of work, payment, and the rights and obligations of each party in writing.

Subject hereby irrevocably grants and conveys to Photographer and Photographer's licensees, agents, successors and assigns a perpetual, worldwide, royalty-free license and right to use, reproduce, distribute, display, publish, modify, and create derivative works from the photographic images and any audio-visual material created in connection with the Services (the "Images") for any lawful purpose, including advertising, promotion, editorial, commercial, and online use.

Subject releases Photographer from any claims, demands or causes of action arising out of the use of the Images, including claims based on invasion of privacy, defamation, or publicity rights. Subject waives any "moral rights" or rights of attribution to the extent permitted by law.

Either party may terminate this Agreement for material breach by the other party if the breach is not cured within after written notice. Termination does not revoke rights already granted with respect to Images created prior to termination, and all amounts due to Photographer for Services performed are immediately payable upon termination.

Confidentiality

The parties agree to keep confidential any non-public business information disclosed in connection with this Agreement. Confidential information does not include information that is or becomes generally available to the public other than through a breach of this Agreement or information lawfully received from a third party without restriction.

Representations, Warranties and Indemnification

Subject represents and warrants that Subject has full legal capacity to grant the rights herein and that no other consents are required. If Subject is a minor, Parent/Guardian consents below and represents that they have authority to execute on behalf of the minor.

Each party agrees to indemnify and hold harmless the other party from and against any losses, claims, damages, liabilities and expenses (including reasonable attorneys' fees) arising out of breach of the representations, warranties or obligations in this Agreement.

Governing Law

This Agreement and any dispute arising hereunder shall be governed by and construed in accordance with the laws of the state of without regard to conflict of laws principles.

Entire Agreement

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, representations and understandings, whether written or oral. Any amendment or modification must be in writing and signed by both parties.

Miscellaneous Provisions

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. Neither party may assign this Agreement without the prior written consent of the other, except that Photographer may assign this Agreement to a successor in interest.
