PHOTOGRAPHY PHOTO SESSION CONTRACT

This Photography Photo Session Contract (the "Agreement") is entered into on , by and between:

WHEREAS

WHEREAS, Photographer is a professional photographer engaged in the business of providing photographic services and possesses the skill, equipment, and staff necessary to provide such services; and

WHEREAS, Client desires to engage Photographer to provide a photography photo session and related services as set forth in this Agreement, and Photographer desires to provide such services under the terms and conditions contained herein.

NOW, THEREFORE, in consideration of the mutual covenants set forth below, the parties agree as follows:

1. SCOPE OF WORK

Photographer will provide photographic services as described below. The scope includes pre-session consultation, the photo session, post-production editing, and delivery of final images as specified.

2. PAYMENT TERMS

Client agrees to pay Photographer the fees set forth below. Fees do not include travel, permits, parking, or other third-party costs unless specified.

4. TERM AND TERMINATION

This Agreement commences on the Effective Date set forth above and continues until delivery of final images and completion of obligations, unless earlier terminated in accordance with this section.

Either party may terminate this Agreement by providing written notice to the other party at least days prior to the session. Photographer may terminate immediately if Client fails to pay required amounts or otherwise breaches material terms.

If Client cancels within the notice period specified above, deposit is non-refundable. Additional cancellation fees may apply as described in the Cancellation section below.

5. CANCELLATION AND RESCHEDULING

Client may request to reschedule no less than days before the session. Rescheduling is subject to Photographer availability. If Client cancels within the specified notice period, Client shall forfeit the deposit and may be responsible for additional fees for lost bookings.

6. CONFIDENTIALITY

Each party will hold all confidential information received from the other in strict confidence and will not disclose such information to any third party without prior written consent, except as required by law. Confidential information excludes information that is publicly known or independently developed.

7. INTELLECTUAL PROPERTY AND USAGE RIGHTS

Photographer retains all copyrights to images produced under this Agreement. Photographer grants Client a non-exclusive, non-transferable license to use delivered images for personal use only, unless commercial rights are specifically granted in writing.

Commercial usage granted:

Client may not remove Photographer's copyright notice, watermark, or metadata applied to images. Any alteration, licensing to third parties, or use beyond the scope granted requires prior written permission and may require additional fees.

8. DELIVERY AND RETENTION

Photographer will retain original files for a period of after final delivery. Client is responsible for making backup copies of delivered files.

9. MODEL RELEASE

Client hereby grants Photographer and Photographer's agents a royalty-free, perpetual right to use, publish, display, reproduce, and distribute images of Client for Photographer's portfolio, marketing, social media, competitions, and self-promotion, unless Client expressly checks the box below to withhold promotional usage.

10. INDEMNIFICATION AND LIMITATION OF LIABILITY

Each party will indemnify and hold the other harmless from claims, damages, and expenses arising out of the indemnifying party's negligence or willful misconduct. Photographer's liability for any claim arising under this Agreement is limited to the total amount of fees paid by Client to Photographer under this Agreement. Under no circumstances will Photographer be liable for consequential, incidental, or punitive damages.

11. GOVERNING LAW

This Agreement will be governed by and construed in accordance with the laws of the State selected by the parties. Any dispute arising out of or relating to this Agreement shall be resolved in the state or federal courts located in the agreed jurisdiction.

12. ENTIRE AGREEMENT; AMENDMENT

This Agreement contains the entire understanding of the parties with respect to the subject matter hereof and supersedes all prior discussions, agreements, and understandings of every kind. No amendment, modification, or waiver of any provision of this Agreement shall be effective unless in writing and signed by both parties.

13. SEVERABILITY

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect and the invalid provision will be reformed to the extent necessary to make it enforceable.
