Photography Photographer Agreement

This Photography Photographer Agreement ("Agreement") is made effective as of Effective Date: by and between Client Name: and Photographer Name: .

WHEREAS

WHEREAS, Client desires to engage Photographer to provide professional photography services for the purpose described in Scope of Work below; and

WHEREAS, Photographer represents that Photographer has the skill, experience, equipment and personnel necessary to perform such services and agrees to perform those services in accordance with the terms of this Agreement; and

WHEREAS, the parties intend by this Agreement to set forth their respective rights and obligations with respect to the services, deliverables and license or transfer of rights arising from the engagement.

SCOPE OF WORK

Photographer shall provide photography services as described below and deliver the specified deliverables in accordance with the schedule. The detailed description of services, locations, expected deliverables, and acceptance criteria shall be:

PAYMENT TERMS

Client shall pay Photographer for services rendered in accordance with the following fees and schedule.

All amounts payable under this Agreement are exclusive of applicable taxes. Photographer may suspend delivery of files or services for failure to pay any undisputed amount when due.

EXPENSES, TRAVEL AND ADDITIONAL COSTS

Client shall reimburse Photographer for reasonable pre-approved expenses, including travel, lodging and parking. Unless otherwise agreed, travel is reimbursed at cost with receipts.

TERM & TERMINATION

This Agreement begins on Start Date: and shall continue until End Date: unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for material breach by the other party if the breach remains uncured after Notice Period: days' written notice. Termination shall not relieve Client of the obligation to pay fees for services performed and non-recoverable expenses incurred through the effective date of termination.

CONFIDENTIALITY

Each party shall hold in confidence any proprietary or confidential information disclosed by the other party that is identified as confidential or that reasonably should be understood to be confidential. Confidential information excludes information that is publicly known, already lawfully in a receiving party's possession, or independently developed without use of the disclosing party's confidential information. This obligation survives termination of the Agreement for a period of three (3) years.

INTELLECTUAL PROPERTY, COPYRIGHT & LICENSE

Photographer retains copyright to all photographic works created under this Agreement unless the parties execute a separate written assignment. Photographer grants Client a non-exclusive, non-transferable license to use, reproduce and display the delivered images for the uses expressly described below. Commercial use beyond the permitted scope requires additional written permission and fee.

If Client requires transfer of copyright, parties must execute a written Copyright Assignment and Client shall pay an additional assignment fee agreed in writing prior to transfer.

DELIVERY

Photographer will deliver edited digital images in the file format and resolution agreed in Scope of Work within Delivery Timeline: . Title to delivered files transfers upon full payment of all fees due under this Agreement, subject to the license terms stated above.

CANCELLATION & RESCHEDULING

Client may cancel or reschedule by written notice. If Client cancels within Cancellation Window: prior to the shoot, Photographer will retain the deposit as a cancellation fee. Cancellation within fewer than the specified days may require payment of additional fees to cover lost opportunities and incurred costs.

INSURANCE & INDEMNIFICATION

Photographer represents that Photographer maintains appropriate liability insurance. Each party agrees to indemnify, defend and hold harmless the other party from any third-party claims, damages or liabilities arising from the indemnifying party's breach of this Agreement, willful misconduct, or negligence.

MISCELLANEOUS

Notices under this Agreement shall be in writing and delivered to the addresses set forth above. Failure to enforce any provision shall not constitute a waiver of that provision. If any provision is held invalid, the remaining provisions shall remain in full force and effect.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflicts of law principles.

ENTIRE AGREEMENT

This Agreement, together with any incorporated Scope of Work or addenda signed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, and communications, whether written or oral. Any amendment must be in writing and signed by both parties.
