Recitals

WHEREAS, Photographer is a professional provider of photographic services, including capture, editing, and delivery of photographic images and related media; and

WHEREAS, Client desires to engage Photographer to perform the photographic services described below and to obtain and use certain photographs and related media for the purposes and under the terms set forth in this Agreement; and

WHEREAS, the parties intend by this Agreement to set forth the scope, compensation, release of claims, license terms, and other material terms governing the creation and use of the photographs and related works.

Either party may terminate this Agreement for material breach if the breach is not cured within days after written notice. Termination does not relieve Client of obligation to pay for services already performed or for non-cancellable expenses reasonably incurred by Photographer.

Grant of Rights and Photographic Release

Client hereby irrevocably grants Photographer and Photographer's agents, licensees, and assigns a perpetual, worldwide, royalty-free, transferable license to use, reproduce, publish, distribute, modify, display, and create derivative works from the photographs and related media (the "Images") for the permitted uses selected below and for all business purposes consistent with this Agreement.

Client expressly releases Photographer from any claims for invasion of privacy, right of publicity, defamation, or other claims arising from use of the Images consistent with this Agreement, excluding uses that are unlawful under applicable statute. Client acknowledges that Photographer may use Images in composite form and that Photographer retains the right to crop, retouch, color-correct, and otherwise edit Images.

Model Release, Minors, and Guardian Consent

If the subject is a minor, the parent or legal guardian must sign below. By signing, parent/guardian grants all rights and releases on behalf of the minor and represents authority to do so.

Credit, Attribution, and Moral Rights

Photographer may credit the Photographer when the Images are published; Client shall not remove Photographer credit where customary. Client hereby waives any moral rights in the Images to the extent permissible by law.

Delivery, Archival, and Third-Party Use

Photographer will deliver final Images in the format agreed above. Photographer retains copies of the Images for archival and promotional purposes unless otherwise agreed in writing. Client acknowledges that Photographer may license Images to third parties unless Client has secured exclusive rights in a separate written agreement.

Representations, Warranties, and Indemnity

Each party represents that it has the authority to enter into this Agreement. Client warrants that use of the Images as authorized will not infringe the rights of any third party. Client will indemnify and hold Photographer harmless from claims arising from Client's use of the Images beyond the rights granted herein.

Confidentiality

The parties agree that pricing, unpublished campaign details, and any proprietary production techniques disclosed in connection with this Agreement are Confidential Information and will not be disclosed to third parties except as required by law or as necessary to exercise rights under this Agreement.

Governing Law and Venue

This Agreement will be governed by and construed in accordance with the laws of the state of without regard to its conflict of laws principles. Venue for any dispute shall be the state or federal courts located in that state.

Entire Agreement

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, and communications, whether oral or written. Any amendment or waiver must be in writing and signed by both parties.

Miscellaneous Provisions

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect. The failure to enforce any provision shall not constitute a waiver. Notices must be in writing and delivered to the addresses set forth above.
