RECITALS

WHEREAS, Client requires photography services for the project described in this application and seeks to engage Photographer to provide such services under the terms set forth below;

WHEREAS, Photographer represents that Photographer possesses the professional skill, equipment, and ability to perform the photography services described in this agreement and is willing to perform such services in accordance with the terms herein;

Either party may terminate this Agreement for material breach if the breaching party fails to cure such breach within the notice period specified above. Upon termination, Client remains responsible for payment of services performed through the effective date of termination and any non‑cancelable expenses incurred by Photographer on Client's behalf.

CONFIDENTIALITY

Each party acknowledges that information disclosed in connection with this Agreement, including but not limited to unpublished images, pricing, client lists, concepts, and drafts, may constitute Confidential Information. The receiving party shall not use or disclose Confidential Information except as reasonably necessary to perform obligations under this Agreement or as required by law. This confidentiality obligation survives termination of this Agreement for a period of two (2) years.

INTELLECTUAL PROPERTY AND USAGE RIGHTS

Photographer retains copyright in all original photographic works created under this Agreement. Photographer grants Client a limited, non-exclusive license to use delivered images for the intended use specified above, subject to any restrictions agreed in writing. Any transfer of additional usage rights or ownership shall be documented in a separate written instrument and may require additional compensation.



PERMITS, RELEASES, AND INSURANCE

Client is responsible for securing all necessary location permits, talent/model releases, and permissions prior to the shoot. Photographer may require copies of releases and permits before delivery of final images. Photographer maintains insurance customary for professional photography services; proof may be provided upon request.

LIMITATION OF LIABILITY AND INDEMNITY

Except for willful misconduct or gross negligence, Photographer's liability for claims arising out of this Agreement shall be limited to direct damages not to exceed the total fees paid by Client under this Agreement. Client shall indemnify and hold Photographer harmless from any third-party claims arising from Client's use of the images, failure to obtain releases or permits, or breach of this Agreement.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles.

ENTIRE AGREEMENT

This Agreement, together with any attachments and the Scope of Work set forth above, constitutes the entire agreement between Client and Photographer with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, representations, and understandings of the parties, whether written or oral. Any modification of this Agreement must be in writing and signed by both parties.
