PHOTOGRAPHY PHOTOSHOOT PACKAGE

RECITALS

WHEREAS, Photographer is engaged in the business of professional photography and offers photographic services and deliverables in connection with commercial and personal projects; and

WHEREAS, Client desires to retain Photographer to perform photographic services for the photoshoot described in this Agreement on the terms and conditions set forth herein; and

WHEREAS, the parties intend for this document to set forth the full understanding and contractual obligations regarding the photoshoot package, deliverables, payment, and rights in the photographs.

SCOPE OF WORK

Photographer shall provide photography services as described below. The parties acknowledge that any material change to the scope will require a written amendment and may affect fees and schedule.

DELIVERABLES & TIMELINE

Photographer will deliver the number and type of final edited images and ancillary deliverables as set out below. Delivery timelines are calculated from the date of the shoot or final approval of selections, as specified.

PAYMENT TERMS

Client agrees to pay Photographer the fees set forth in this section. All amounts are in U.S. dollars unless otherwise stated.

Late payments shall accrue interest and/or fees as set forth below. Client is responsible for all costs incurred to collect overdue payments, including reasonable collection fees and attorneys' fees.

TERM AND TERMINATION

This Agreement commences on the Start Date set forth below and continues until completion of obligations or earlier termination in accordance with this section.

If Client cancels within fourteen (14) days of the scheduled shoot, Client shall remain responsible for the full package fee. Rescheduling requests less than seven (7) days prior to the shoot are subject to additional fees as agreed by the parties.

CONFIDENTIALITY

Each party agrees to maintain in confidence any proprietary or non-public information disclosed by the other party in connection with this Agreement. Confidential information shall not include information that is or becomes publicly known through no wrongful act of the receiving party. This confidentiality obligation survives termination of this Agreement for a period of two (2) years.

INTELLECTUAL PROPERTY AND USAGE

Photographer retains all copyrights in the photographs produced under this Agreement. Photographer grants Client a limited, non-transferable, non-exclusive license to use the delivered images for the uses expressly identified in the Scope of Work. Any commercial, editorial, or sublicensing use not expressly permitted requires separate written agreement and additional fees.

INDEMNIFICATION & LIABILITY

Client agrees to indemnify and hold harmless Photographer from and against claims arising from Client's use of the photographs, Client-supplied props, or Client conduct at the shoot. Photographer's liability for any claim arising under this Agreement shall be limited to direct damages not to exceed the total fees paid by Client under this Agreement; Photographer shall not be liable for incidental, consequential, or punitive damages.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict-of-law principles. Any dispute not resolved by mutual agreement shall be resolved in the state or federal courts located within that state.

ENTIRE AGREEMENT

This Agreement, including all schedules, attachments, and incorporated terms, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, and communications, whether oral or written. Any amendment to this Agreement must be in writing and signed by both parties.
