PHOTOGRAPHY PORTRAIT SESSION AGREEMENT

Recitals

WHEREAS, Photographer named above is engaged in the business of providing professional portrait photography services and related deliverables; and

WHEREAS, Client wishes to engage Photographer to perform a portrait session on the terms and conditions set forth in this Agreement; and

NOW, THEREFORE, in consideration of the mutual promises contained herein, the parties agree as follows.

Scope of Work

Photographer will provide professional portrait photography services as described below. The photographer will use reasonable skill and care consistent with industry standards.

Late Payment Fee: Charges for returned payments, collection costs and interest shall be borne by Client.

Term and Termination

This Agreement commences on Start Date: and continues until End Date: or until all obligations are fulfilled.

Either party may terminate this Agreement for material breach if the breaching party fails to cure within days after written notice. Termination does not relieve Client's obligation to pay for services rendered and non-refundable deposits unless otherwise agreed in writing.

Cancellation and Rescheduling

Client may reschedule with at least days' notice. Cancellations made less than this notice period will forfeit the deposit. Photographer may cancel for reasons beyond control and will refund fees for cancelled sessions, subject to costs already incurred.

Confidentiality

Each party shall keep confidential and not disclose to third parties any non-public proprietary information obtained from the other party in connection with this Agreement, except as necessary to perform obligations or as required by law. Confidential information does not include information that becomes public other than by breach of this Agreement.

Ownership, License and Model Release

Photographer retains copyright and all intellectual property rights in the original photographs. Upon full payment, Photographer grants Client a non-exclusive, non-transferable license to use the final delivered images for personal, promotional and portfolio purposes as specified in the license scope. Commercial licensing or transfer of rights requires a separate written agreement.

Client hereby grants Photographer the right to use images from the session for Photographer's marketing, portfolio, competitions and social media unless Client checks the following box to withhold marketing permission:

Delivery of Images

Photographer will deliver final edited images within calendar days following the session and receipt of full payment, in the format described in the Scope of Work. Delivery may be delayed for reasons beyond Photographer's control; Photographer will notify Client of any material delay.

Additional Expenses

Client shall reimburse Photographer for reasonable out-of-pocket expenses (travel, parking, location fees, assistants) incurred in connection with the session. Such expenses will be itemized and invoiced to Client.

Indemnification and Limitation of Liability

Each party shall indemnify and hold harmless the other party from claims, liabilities and expenses arising from the indemnifying party's negligence or willful misconduct. Photographer's aggregate liability for any claim arising from this Agreement shall be limited to direct damages not to exceed the total fees paid by Client to Photographer under this Agreement. In no event shall Photographer be liable for incidental, consequential, special, or punitive damages.

Force Majeure

Neither party shall be liable for delay or failure to perform due to causes beyond its reasonable control, including but not limited to acts of God, natural disaster, governmental restriction, pandemic, or other force majeure events. The affected party shall notify the other as soon as practicable and make reasonable efforts to reschedule.

Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles. Parties shall attempt in good faith to resolve disputes through negotiation; if unresolved, disputes shall be submitted to binding arbitration in the county where Photographer maintains its primary place of business, with the arbitrator applying the substantive law of the governing state.

Entire Agreement

This Agreement constitutes the entire agreement between the parties and supersedes all prior and contemporaneous agreements, representations and understandings, whether written or oral. Any modification of this Agreement must be in writing and signed by both parties.
