PHOTOGRAPHY PORTRAIT SESSION AGREEMENT

Recitals

WHEREAS Photographer provides professional photographic services under the terms and conditions set forth herein; and

WHEREAS Client desires to engage Photographer to provide a portrait photography session and related deliverables in accordance with this Agreement.

NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein, Photographer and Client agree as follows:

Scope of Work

Photographer will perform a portrait photography session as described below and will provide the Deliverables within the Delivery Period specified. Photographer retains artistic control over pose selection, lighting, and post-production decisions, subject to Client's reasonable preferences communicated in advance.

Payment Terms

Total Fee: $ (exclusive of sales tax where applicable).

Late Payment: Client agrees that any amount not paid within days of the due date will incur a late fee of on the outstanding balance.

Cancellation and Rescheduling

Cancellation by Client less than days prior to the Session Date will forfeit the deposit. Rescheduling with at least days notice may be accommodated at Photographer's discretion without additional fee.

Term and Termination

This Agreement commences on Start Date: and continues through End Date: , unless earlier terminated as provided herein.

Either party may terminate this Agreement upon days' written notice to the other party. Termination does not relieve Client of obligation to pay for services already performed or non-refundable fees expressly stated.

Confidentiality

Each party shall keep confidential any proprietary or non-public information received from the other party in connection with this Agreement and shall not disclose such information except as required by law. Confidential information does not include information that is or becomes generally known to the public through no fault of the receiving party.

Usage Rights and Model Release

Subject to full payment, Photographer grants Client a non-exclusive, non-transferable license to use the final images for personal, editorial, and portfolio purposes. Commercial use or sale of images by Client requires a separate commercial license and additional fees.

Client hereby grants Photographer and Photographer's agents a perpetual license to use images from the session for Photographer's promotional, marketing, and portfolio purposes unless Client indicates otherwise by checking the box below.

Client restricts Photographer from using session images for Photographer promotion.

Indemnification and Limitation of Liability

Client agrees to indemnify, defend, and hold harmless Photographer from any claims, damages, liabilities, costs, and expenses arising from Client's breach of this Agreement or from Client's use of the images beyond the rights granted herein.

Photographer's liability for any claim arising out of this Agreement shall be limited to the amount actually paid by Client to Photographer under this Agreement. Photographer shall not be liable for incidental, consequential, or punitive damages.

Force Majeure

Neither party shall be liable for delays or failure to perform resulting from causes beyond its reasonable control, including but not limited to acts of God, severe weather, public health emergencies, or government actions. Parties will use good faith efforts to reschedule the session.

Governing Law

This Agreement shall be governed by and construed in accordance with the substantive laws of the state of without regard to its conflict of laws principles.

Entire Agreement

This Agreement, together with any exhibit or addendum signed by the parties, constitutes the entire agreement between Photographer and Client regarding the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, and representations.

Miscellaneous Provisions

Amendments to this Agreement must be in writing and signed by both parties. If any provision of this Agreement is found unenforceable, the remaining provisions shall remain in full force and effect.
