PHOTOGRAPHY SENIOR PICTURES AGREEMENT

This Photography Senior Pictures Agreement ("Agreement") is made and entered into on by and between Photographer Name: , with business address: (hereinafter "Photographer"), and Client Name: , with address: (hereinafter "Client").

WHEREAS

WHEREAS, Photographer is a professional photographer engaged in providing portrait photography services, including but not limited to senior portrait sessions, image processing, and delivery of final images under the terms set forth herein.

WHEREAS, Client desires to retain Photographer to perform a senior portrait photography session on the date: at location: and Photographer agrees to provide such services on the terms and conditions contained in this Agreement.

SCOPE OF WORK

Photographer shall provide a senior portrait photography session including pre-session consultation, on-location or studio photography, basic image editing, and delivery of final images as described below. Specific details of the session shall be as follows.

PAYMENT TERMS

Client shall pay Photographer a total fee of $ for the services described herein.

A non-refundable deposit as stated above is due upon booking to secure the session date. Deposit constitutes consideration and will be applied toward the total fee.

Unless otherwise agreed in writing, remaining balance is due on or before the balance due date. Photographer may withhold delivery of final images until full payment is received.

Unpaid amounts shall accrue interest at the rate specified above, calculated monthly, and Client shall be responsible for reasonable collection costs and attorneys' fees incurred by Photographer in collecting overdue amounts.

TERM AND TERMINATION

This Agreement shall commence on Start Date: and shall terminate on End Date: unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for material breach by the other party if such breach remains uncured for days after receipt of written notice specifying the breach. Photographer may terminate immediately if Client fails to pay the deposit or otherwise conduct themselves in a manner that materially interferes with the session.

CONFIDENTIALITY

Each party shall maintain in confidence all proprietary or non-public information disclosed by the other party in connection with this Agreement, including contact information, scheduling details, and any sensitive personal information. Photographer shall not disclose Client's personal contact information to third parties without Client's prior written consent, except as necessary to perform the services or as required by law.

Photographer retains the copyright to all photographs created pursuant to this Agreement. Photographer grants Client a non-exclusive, non-transferable license to use delivered images for personal, non-commercial purposes, including social media and personal prints. Client shall not sell, license, or distribute images for commercial use without a separate written license. Client hereby grants Photographer a royalty-free license to use photographs for Photographer's promotional purposes (portfolio, website, social media, printed materials), unless Client indicates otherwise by checking the following box:

ADDITIONAL TERMS

Indemnification: Client agrees to indemnify, defend and hold Photographer harmless from any claims, liabilities, damages, or expenses (including reasonable attorneys' fees) arising from Client's breach of this Agreement or from Client's negligent acts or omissions during the session.

Limitation of Liability: In no event shall Photographer be liable for incidental, consequential, punitive, or special damages arising out of or in connection with this Agreement. Photographer's total aggregate liability for any claim related to this Agreement shall not exceed the total fees paid by Client to Photographer under this Agreement.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of law principles. Any dispute arising under or in connection with this Agreement shall be resolved in the state or federal courts located in that State.

ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, negotiations, and understandings, whether written or oral. Any modification to this Agreement must be in writing and signed by both parties.
