PHOTOGRAPHY SERVICES CONTRACT

This Photography Services Contract ("Agreement") is entered into as of , by and between Photographer Name: and Client Name: .

RECITALS

WHEREAS, Photographer is professionally engaged in the business of providing photographic services and possesses the skill, equipment, and personnel necessary to provide such services;

WHEREAS, Client desires to retain Photographer to provide photographic services in connection with the event or assignment described below, and Photographer agrees to provide such services under the terms set forth in this Agreement;

WHEREAS, the parties intend by this Agreement to set forth the terms, conditions, and compensation for the provision of photography services.

NOW, THEREFORE, in consideration of the mutual covenants contained herein, the parties agree as follows:

1. SERVICES

Photographer shall provide photography services ("Services") on , at the following location: . Services shall include the Photographer's time at the event, on-site photography, post-production editing, and delivery of the deliverables described in Section 2. Photographer will provide up to hours of coverage. Any additional hours will be billed at the overtime rate set forth in Section 3.

2. DELIVERABLES

Photographer will deliver edited photographic images and related files as follows:

Photographer shall use commercially reasonable efforts to deliver the final edited images within the stated timeframe but is not liable for minor delays due to workload, equipment failure, or force majeure.

3. COMPENSATION AND PAYMENT

Client shall pay Photographer the total fee of $ (the "Fee") for the Services described herein.

Unless otherwise agreed in writing, the deposit is due upon execution of this Agreement and the remaining balance is due no later than , . Late payments are subject to interest at the rate of 1.5% per month or the maximum permitted by law, whichever is less.

4. EXPENSES AND TRAVEL

Client will reimburse Photographer for agreed travel expenses including transportation, lodging, and per diem. Expected travel estimate: $ . Mileage will be charged at $ per mile when applicable. Receipts for reimbursable expenses will be provided upon request.

5. CLIENT OBLIGATIONS

Client shall cooperate with Photographer, provide access to the premises, obtain any necessary permissions or releases for locations, and ensure a reasonable schedule so Photographer can perform the Services. Client is responsible for securing any required location permits and for providing a suitable working environment free from unreasonable hazards.

6. COPYRIGHT AND LICENSE

Photographer retains copyright in all images created by Photographer. Upon full payment of the Fee, Photographer grants Client a non-exclusive, non-transferable license to use the delivered images for personal, editorial, or internal business purposes as specified herein. Commercial resale, licensing to third parties, or use in advertising requires a separate written license and additional fee of $ .

Client shall not remove Photographer's copyright notice or metadata, shall not claim authorship, and shall provide Photographer credit where feasible when images are published.

7. MODEL RELEASE; USE OF LIKENESS

Client hereby grants Photographer and Photographer's assigns the irrevocable and unrestricted right to use and publish photographs of Client or Client's guests for advertising, display, publication, and other lawful purposes, including on Photographer's promotional materials, unless Client expressly opts out in writing prior to the event. Client represents that Client has authority to grant such rights for all persons appearing in the images.

8. CANCELLATION, RESCHEDULING, AND POSTPONEMENT

If Client cancels this Agreement more than 60 days before the event, Photographer will retain the deposit as liquidated damages. If Client cancels within 60 days of the event, Client remains responsible for the full Fee. If Photographer cancels (other than for force majeure), Photographer will refund any fees paid and make reasonable efforts to find a qualified replacement. Rescheduling requested by Client is subject to Photographer's availability; deposit may be applied to the rescheduled date if notice is provided at least days prior to the event.

9. TERMINATION FOR BREACH

If either party materially breaches this Agreement and fails to cure such breach within 15 days after written notice, the non-breaching party may terminate this Agreement and seek available remedies. Termination shall not relieve Client of obligation to pay fees for Services already performed or expenses incurred prior to termination.

10. INDEMNIFICATION

Client shall indemnify, defend, and hold Photographer harmless from and against any claims, liabilities, losses, damages, and expenses (including reasonable attorneys' fees) arising from Client's breach of this Agreement, Client's negligence, willful misconduct, or any third-party claims relating to Client's use of the images beyond the rights granted herein.

11. LIMITATION OF LIABILITY

Except for liability arising from Photographer's willful misconduct, Photographer's total liability for any claim arising under this Agreement shall be limited to the total amount of fees actually paid by Client to Photographer for the Services that are the subject of the claim. In no event shall Photographer be liable for consequential, incidental, or punitive damages.

12. CONFIDENTIALITY

Each party agrees to maintain as confidential any proprietary business information of the other party disclosed in connection with this Agreement and not to disclose such information except as required by law or with the prior written consent of the disclosing party.

13. FORCE MAJEURE

Neither party shall be liable for failure or delay in performance caused by circumstances beyond its reasonable control, including but not limited to acts of God, natural disaster, war, civil disturbance, pandemic, or government action. The affected party shall promptly notify the other and use reasonable efforts to resume performance.

14. NOTICES

All notices required or permitted under this Agreement shall be in writing and shall be deemed given when delivered personally, by certified mail, or by email with confirmation of receipt to the addresses below:

No modification, amendment, or waiver of any provision of this Agreement shall be effective unless in writing and signed by both parties. The waiver by either party of any breach shall not operate or be construed as a waiver of any subsequent breach.

16. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of law principles.

17. ENTIRE AGREEMENT; SEVERABILITY

This Agreement constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior negotiations and understandings. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall continue in full force and effect.
