Recitals

WHEREAS, Photographer is a professional provider of photography services and possesses the skills, personnel, equipment, and licenses necessary to deliver photographic services in a professional manner; and

WHEREAS, Client desires to retain Photographer to provide photographic services for the event or assignment described in this agreement, and Photographer agrees to provide such services under the terms and conditions set forth below; and

WHEREAS, the parties wish to document the selected service options, payment terms, deliverables, and license rights to avoid ambiguity and to govern the parties' relationship.

Scope of Work

Description of Services: Photographer will provide photography services as described below. The specific duties, locations, scheduled times, and personnel assignments will be as set forth in the Scope of Work field and as may be amended in writing by the parties.

Package Options and Add‑Ons

Select the package and any add‑ons to be provided. Pricing shown is exclusive of applicable taxes and reimbursable expenses unless otherwise indicated.

Basic Package — Up to 2 hours coverage, online gallery delivery. Fee: $

Standard Package — Up to 4 hours coverage, 30 edited images, online gallery. Fee: $

Premium Package — Full day coverage, 100 edited images, prints or album credit. Fee: $

Custom Package — Customized services to be described in Scope of Work. Estimated Fee: $

Deliverables and Turnaround

Deliverables will be provided in the formats and quantities indicated below. Turnaround times are counted in business days from the date of the shoot or final agreed deliverable date, whichever is later.

Payment Terms

The total fee for selected services is set forth below. Client shall pay a non-refundable deposit to secure the date and services. Final balance is due in accordance with the schedule below.

Credit Card Bank Transfer Cash

Late payment will incur a fee of per month on the outstanding balance or a flat fee of $, whichever is greater.

Travel, Meals and Expenses

Travel beyond miles from Photographer's primary place of business will be billed at actual cost plus a travel fee of $. Reasonable meals and lodging required due to distance or scheduling will be reimbursed by Client upon submission of receipts.

Image Rights and Usage License

Photographer retains copyright in all images created. Subject to full payment, Photographer grants Client a non-exclusive, non-transferable license to use delivered images for personal, non-commercial use and reasonable promotional use as agreed in writing. Commercial or resale rights require a separate license and fee.

Cancellation and Rescheduling

If Client cancels this agreement more than days prior to the scheduled shoot, any amounts paid beyond the non-refundable deposit will be refunded, less any work already performed. Cancellation within days of the shoot will forfeit the deposit and may be charged up to of the remaining balance to compensate for lost booking opportunities.

Rescheduling requested by Client will be accommodated where Photographer is available; deposit may be transferred to the new date if notice is provided at least days prior to the original date.

Either party may terminate this Agreement for material breach by the other party if the breach remains uncured for days after written notice. Termination by Client without cause may result in forfeiture of deposit and additional charges as provided in the Cancellation provisions.

Confidentiality

Each party shall keep confidential all non-public information obtained from the other in connection with the performance of this Agreement and shall not disclose such information except as required by law or with the prior written consent of the disclosing party. Photographer's previews, proofs, and raw files shall be considered Confidential Information until Client's final gallery delivery is complete, unless otherwise agreed.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles.

Entire Agreement

This document, together with any attached addenda and written amendments signed by both parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior negotiations, representations, or agreements, whether written or oral. Any modifications must be in writing and signed by both parties.

Representations and Warranties; Indemnity

Each party represents and warrants that it has full power and authority to enter into this Agreement. Client agrees to indemnify and hold Photographer harmless from claims arising out of Client's use of the images beyond the scope of the license granted herein. Photographer's liability for any claim arising under this Agreement shall be limited to direct damages not to exceed the total fees paid by Client under this Agreement.
