PHOTOGRAPHY UPGRADE AGREEMENT

This Photography Upgrade Agreement ("Agreement") is made effective as of by and between the parties identified below.

Parties

WHEREAS

WHEREAS, Photographer and Client previously entered into a Photography Services Agreement for photographic services (the "Original Agreement"); and

WHEREAS, Client desires to upgrade certain deliverables, license rights, and/or services described in the Original Agreement, and Photographer is willing to provide such upgrades upon the terms set forth in this Agreement; and

NOW, THEREFORE, in consideration of the mutual promises herein contained, the parties agree as follows.

Scope of Work

Photographer shall provide the upgrade services and deliverables described below, which supplement and modify the Original Agreement. All deliverables will be subject to the acceptance procedures set forth herein.

Payment Terms

In consideration for the upgrades, Client shall pay Photographer the amounts and according to the schedule set forth below. All fees are stated in the currency agreed by the parties.

Late payments shall incur a late fee of on any outstanding balance each month until paid in full. Client shall also be responsible for reasonable collection costs and attorneys' fees incurred by Photographer in enforcing payment.

Term and Termination

This Agreement shall commence on and shall continue until the upgrades have been completed and delivered or until , whichever occurs first.

Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure such breach within days after receipt of written notice. Termination does not relieve Client of liability for fees due for services already performed.

Confidentiality

Each party shall keep confidential all proprietary or non-public information of the other party disclosed in connection with this Agreement ("Confidential Information"). Confidential Information shall not include information that is or becomes publicly known through no breach by the receiving party, or that is lawfully obtained from a third party without restriction. Confidential Information shall be used solely for the performance of this Agreement.

Intellectual Property and License

Photographer retains all copyrights and moral rights in the photographic works created, subject to the license granted herein. Unless otherwise expressly agreed in writing, Photographer grants Client a non-exclusive, non-transferable license to use the upgraded deliverables for the uses specified in this Agreement and the Original Agreement. Any expanded or exclusive license must be documented and compensated separately.

Delivery and Acceptance

Photographer shall deliver upgraded deliverables in the agreed format(s). Delivery timeline: days from completion of services or receipt of final images as applicable. Client shall provide acceptance or written objections within 7 days of delivery; failure to timely object constitutes acceptance.

Cancellation and Refunds

Unless otherwise stated, deposits paid for upgrades are . If Photographer is unable to perform the upgrade due to illness, emergency, or other cause beyond Photographer's reasonable control, Photographer will refund any unearned fees or propose a substitute arrangement.

Limitation of Liability

EXCEPT FOR CLAIMS ARISING FROM WILLFUL MISCONDUCT OR GROSS NEGLIGENCE, IN NO EVENT SHALL EITHER PARTY BE LIABLE TO THE OTHER FOR CONSEQUENTIAL, INCIDENTAL, EXEMPLARY, OR PUNITIVE DAMAGES. PHOTOGRAPHER'S AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THIS AGREEMENT SHALL NOT EXCEED THE TOTAL FEES PAID BY CLIENT FOR THE SPECIFIC UPGRADE SERVICES GIVING RISE TO THE CLAIM.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to its conflict of law principles.

Entire Agreement; Amendment

This Agreement, together with the Original Agreement as modified hereby, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings. Any amendment or modification to this Agreement must be in writing and signed by both parties.

Miscellaneous

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. Headings are for convenience only and do not affect interpretation.
