PHOTOGRAPHY WEDDING PHOTO AGREEMENT

This Photography Wedding Photo Agreement (Agreement) is entered into by and between:

WHEREAS

WHEREAS, Client desires to retain Photographer to capture photographic images of Client's wedding and related events described herein; and

WHEREAS, Photographer represents that Photographer has the experience, skill and equipment necessary to provide wedding photography services and is willing to perform such services on the terms and conditions set forth in this Agreement.

NOW, THEREFORE, in consideration of the mutual covenants contained herein, the parties agree as follows:

Late Payment: Any unpaid balance after the Balance Due Date shall incur interest at or the maximum lawful rate, plus all costs of collection including reasonable attorney's fees.

CANCELLATION AND RESCHEDULING

If Client cancels this Agreement more than days prior to the Event Date, Photographer shall retain the Deposit only. If Client cancels within days of the Event Date, Client shall be responsible for of the Total Fee. Rescheduling by Client is subject to Photographer availability and may require an additional fee to cover changed logistics.

TERM AND TERMINATION

This Agreement commences on Contract Start Date: and shall remain in effect until completion of all obligations on Contract End Date: unless earlier terminated as provided herein.

Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure such breach within days after receipt of written notice specifying the breach.

CONFIDENTIALITY

Each party shall keep confidential and shall not disclose to any third party any non-public information obtained from the other party in connection with the performance of this Agreement, except as required to perform obligations under this Agreement or as required by law. Client confidential information includes, but is not limited to, guest lists, private ceremony details, and vendor pricing.

OWNERSHIP, COPYRIGHT AND LICENSE

Photographer retains all copyrights and ownership in the images captured pursuant to this Agreement. Photographer grants Client a non-exclusive, non-transferable license for personal and private use of the delivered images. Commercial use, resale, licensing to third parties or modification for commercial purposes is prohibited without Photographer's prior written consent and may require additional licensing fees.

Client acknowledges that Photographer may use images for promotional purposes (portfolio, website, social media, print materials) unless Client checks the box declining such use:

INDEMNIFICATION; LIMITATION OF LIABILITY

Client agrees to indemnify, defend and hold Photographer harmless from any claims, losses or damages (including attorney's fees) arising from Client's negligence, acts or omissions or from third-party claims related to Client-provided items or third-party vendors. Photographer's liability for any claim arising out of or relating to this Agreement shall be limited to direct damages not to exceed the amounts paid by Client under this Agreement. Photographer shall not be liable for consequential, incidental, special, or punitive damages.

FORCE MAJEURE

Photographer shall not be liable for failure to perform due to causes beyond Photographer's reasonable control, including but not limited to acts of God, weather, illness, government orders, strikes, or other events of force majeure. In such event, the parties shall use good faith efforts to reschedule the Event or otherwise agree on an equitable adjustment to fees and deliverables.

MISCELLANEOUS PROVISIONS

Notices under this Agreement shall be given in writing to the contact information provided above. This Agreement may not be assigned by Client without Photographer's prior written consent. Any amendment to this Agreement must be in writing and signed by both parties.

ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the parties relating to the subject matter herein and supersedes all prior and contemporaneous agreements, representations and understandings of the parties. If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
