PHOTOGRAPHY WEDDING PHOTO CONTRACT

Parties

This Agreement is entered into between Photographer: (hereafter "Photographer") and Client Name: (hereafter "Client").

WHEREAS

WHEREAS, Client wishes to retain Photographer to provide professional wedding photography services at the event described below; and

WHEREAS, Photographer has the expertise, equipment and personnel to perform such services and agrees to provide photographic services under the terms set forth in this Agreement; and

WHEREAS, the parties desire to set forth their respective obligations, payment terms, and the rights to the photographic materials produced.

Photographer agrees to provide professional wedding photography services including on-site photography at the event and delivery of edited digital images as described below. Specific duties and deliverables will include:

Client agrees to pay Photographer the total fee of $ for the services specified in this Agreement.

Late payments shall incur interest at a rate of and Client shall be responsible for reasonable collection and legal fees incurred by Photographer to enforce payment.

Term and Termination

This Agreement commences on Start Date: and will terminate on End Date: , unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for material breach by the other party if the breach remains uncured for the notice period specified above. Upon termination, Client remains responsible for payment for services performed and non-refundable expenses incurred by Photographer prior to termination.

Cancellation and Rescheduling

If Client cancels the event more than 90 days prior to the Event Date, any refundable deposit will be returned less reasonable administrative costs. If Client cancels within 90 days of the Event Date, Photographer will retain the deposit and may require payment of a cancellation fee equal to a portion of the total fee as necessary to compensate for lost opportunity. Rescheduling is subject to Photographer availability; deposit and prior payments will apply to the rescheduled date if accepted by Photographer.

Confidentiality

Photographer and Client each agree to maintain the confidentiality of the other party's proprietary or private information disclosed in connection with performance under this Agreement. Confidential information does not include information that is or becomes publicly available other than through a breach of confidentiality by the receiving party.

Copyright, Usage and Licensing

Photographer retains all copyrights in the photographs created pursuant to this Agreement. Photographer grants Client a non-exclusive, non-transferable license to use the final images for personal, non-commercial purposes, including online sharing and personal prints, unless a separate commercial license is agreed in writing. Any reproduction for commercial use requires Photographer's prior written permission and may be subject to additional fees.

Model Release

Client grants Photographer and Photographer's legal representatives the irrevocable and unrestricted right to use and publish photographs of Client and event attendees for editorial, trade, advertising, portfolio and any other purpose and in any manner and medium, unless Client selects below to restrict use.

Limitation of Liability & Indemnification

Photographer's liability for any claim arising under this Agreement is limited to direct damages not to exceed the total fees paid by Client to Photographer under this Agreement. Photographer shall not be liable for consequential, incidental, or punitive damages. Client agrees to indemnify, defend and hold Photographer harmless from any third-party claims arising from Client's breach of this Agreement or from Client-provided materials or instructions.

Force Majeure

Neither party shall be liable for failure to perform due to causes beyond its reasonable control, including but not limited to acts of God, natural disaster, government action, terrorism, or public health emergencies. In the event of a force majeure, the parties will cooperate in good faith to reschedule services where feasible.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of law provisions. Venue for any dispute shall be the state or federal courts located in that state.

Entire Agreement

This Agreement, including any attachments or addenda signed by the parties, constitutes the entire agreement between Photographer and Client with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, representations and understandings, whether written or oral. Any amendment or modification of this Agreement must be in writing and signed by both parties.
