PILGRIMS AGREEMENT

This Pilgrims Agreement ("Agreement") is entered into on by and between:

WHEREAS

WHEREAS, Organizer is engaged in the business of planning and conducting guided pilgrimage travel programs and possesses the personnel, experience and resources to organize pilgrimages in accordance with specifications agreed by the parties;

WHEREAS, Pilgrim desires to engage Organizer to provide the pilgrimage services described in this Agreement and Organizer agrees to provide such services subject to the terms and conditions set forth herein;

NOW, THEREFORE, in consideration of the mutual covenants contained in this Agreement, the parties agree as follows:

SCOPE OF WORK

Organizer shall provide pilgrimage planning, coordination, and on-ground services including transportation coordination, accommodations, daily guidance, site admissions, and group management as further described below. Specific services, itinerary details, and exclusions shall be:

Late payment shall incur interest at the rate of % per month on the overdue amount, compounded monthly, plus any collection costs and reasonable attorneys' fees incurred by Organizer.

TERM AND TERMINATION

This Agreement shall commence on and shall terminate on unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for convenience upon providing days' written notice. Termination for material breach shall be effective upon written notice if the breaching party fails to cure the breach within 15 days of receipt of notice.

Refunds upon termination will be calculated pro rata for unrendered services less non‑refundable third‑party costs and administrative fees reasonably incurred by Organizer and documented to Pilgrim.

CONFIDENTIALITY

Each party shall hold in confidence and not disclose to any third party any non-public information designated as confidential by the disclosing party or that, by its nature, should reasonably be understood to be confidential, including pricing, supplier contracts, medical or sensitive personal information of participants, and internal proposals ("Confidential Information"). Confidential Information does not include information that is or becomes publicly available other than by breach of this Agreement, is rightfully received from a third party without restriction, or is independently developed without reference to the disclosing party's Confidential Information.

Confidentiality obligations shall survive termination of this Agreement for a period of three (3) years, except with respect to medical or other sensitive personal information which shall be retained as confidential indefinitely or as required by applicable law.

INDEMNIFICATION; LIMITATION OF LIABILITY

Pilgrim shall indemnify, defend and hold harmless Organizer, its officers, employees and agents from and against any third‑party claims, liabilities, losses, damages, costs and expenses (including reasonable attorneys' fees) arising out of Pilgrim's breach of this Agreement, willful misconduct, negligence, or failure to disclose relevant medical or travel information.

Organizer's total liability to Pilgrim for any claim arising out of or related to this Agreement shall in no event exceed the total fees actually paid by Pilgrim to Organizer under this Agreement. In no event shall Organizer be liable for consequential, incidental, special, or punitive damages.

FORCE MAJEURE

Neither party shall be liable for delays or failures in performance resulting from events beyond its reasonable control, including acts of God, government restrictions, acts of terrorism, pandemics, strikes, natural disasters, or supplier failures. If a force majeure event continues for more than sixty (60) days, either party may terminate this Agreement upon written notice and the parties will negotiate an equitable adjustment to payments.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles. Any dispute arising under this Agreement shall be resolved in the courts located in that State, unless the parties agree in writing to arbitration.

ENTIRE AGREEMENT; AMENDMENT

This Agreement, including all schedules and attachments executed by the parties, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous agreements, proposals, representations and understandings, whether written or oral. No amendment or waiver shall be effective unless in writing and executed by authorized representatives of both parties.

NOTICES

All notices required or permitted hereunder shall be in writing and delivered to the contact information provided by each party. Notices shall be deemed given when delivered by hand, courier, or confirmed electronic transmission, or three (3) days after mailing by certified mail.

MISCELLANEOUS

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall continue in full force and effect. No waiver of any breach shall constitute a waiver of any subsequent breach. The parties agree to execute such further documents and take such further actions as may be reasonably necessary to carry out the intent of this Agreement.
