RECITALS

WHEREAS, Client requires modifications to existing piping systems at the Project Location to address changes in service requirements, replace deficient components, or to accommodate system upgrades; and

WHEREAS, Contractor represents that it has the experience, personnel, and equipment necessary to perform the piping modifications in accordance with applicable codes, industry standards, and the specifications set forth in this Agreement; and

WHEREAS, the parties desire to set forth the scope, payment terms, schedule, and other obligations governing the piping modifications.

SCOPE OF WORK

Contractor shall perform the work described below (the "Work") in a professional manner consistent with industry standards. All Work shall conform to the project drawings, specifications, and applicable codes.

Late Payment: Unpaid amounts shall accrue interest at after a grace period of days. Contractor may suspend Work following ten (10) days' written notice for nonpayment.

Termination for Convenience: Either party may terminate this Agreement upon days' prior written notice. Termination for Cause: Either party may terminate for material breach if the breaching party fails to cure within thirty (30) days after receipt of written notice.

CHANGE ORDERS

Any alteration or deviation from the Scope of Work which involves extra cost or additional time shall be performed only upon written Change Order signed by both Client and Contractor. Contractor shall submit a proposed Change Order listing additional labor, materials, cost, and schedule impact. Client's written approval is required prior to commencement of the changed work.

CONFIDENTIALITY

Each party shall protect and hold in confidence Proprietary Information of the other party disclosed in connection with the Work. Proprietary Information includes technical data, drawings, pricing, and other non-public information designated as confidential or which a reasonable person would understand to be confidential. Confidentiality obligations shall survive termination for a period of three (3) years, except with respect to trade secrets which shall be protected for as long as they qualify as trade secrets under law.

INSURANCE, PERMITS AND COMPLIANCE

Contractor shall maintain insurance customary for piping and construction work, including commercial general liability and workers' compensation, and shall comply with all applicable permits, codes, and regulatory requirements. Contractor shall provide certificates of insurance upon request. Contractor is responsible for obtaining permits unless otherwise agreed in writing.

LIABILITY AND INDEMNITY

Contractor shall indemnify and hold harmless Client from third-party claims arising from Contractor's negligent performance of the Work, except to the extent caused by Client's gross negligence or willful misconduct. Neither party shall be liable for incidental or consequential damages except where such limitation is unenforceable.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction indicated below without regard to its conflicts of law principles. The parties consent to the exclusive venue of the state and federal courts located within the chosen jurisdiction.

ENTIRE AGREEMENT

This document, including any attachments or executed Change Orders, constitutes the entire agreement between the parties regarding the Work and supersedes all prior negotiations, proposals, and understandings. Any amendment must be in writing and signed by both parties.

ACKNOWLEDGMENT
