What a Plan Sponsor Agreement Is and when it applies

A Plan Sponsor Agreement is a written contract establishing responsibilities between an employer or sponsoring organization and an administrator, recordkeeper, or third-party service provider for an employee benefit plan. It documents authority to operate, contribution and remittance schedules, reporting obligations, fiduciary duties under ERISA where applicable, and dispute-resolution procedures. The agreement clarifies operational roles, data access, and who has signing authority for plan transactions and amendments.

Why a clear Plan Sponsor Agreement matters

A well-drafted agreement reduces operational risk, clarifies fiduciary responsibilities, and helps ensure regulatory compliance under ERISA, IRS rules, and related state law. It also sets data-handling and reporting expectations for payroll, recordkeeping, and participant communications.

Why a clear Plan Sponsor Agreement matters

Who typically prepares and signs a Plan Sponsor Agreement

Organizations and professionals who commonly draft, review, or sign a Plan Sponsor Agreement include plan sponsors, HR leaders, benefits administrators, third-party administrators, and outside counsel.

  • Plan sponsors and HR teams: Employers that establish and maintain benefit plans, responsible for selecting service providers and ensuring compliance.
  • Third-party administrators (TPAs): Firms that manage plan administration, recordkeeping, and participant transactions on behalf of the sponsor.
  • Legal and compliance advisors: ERISA counsel and auditors who review fiduciary language, reporting clauses, and indemnity provisions.

Use these role distinctions to assign review, execution, and ongoing oversight responsibilities within your organization.

Who can sign on behalf of the sponsor

Plan Administrator

Typically an HR director or benefits manager authorized by board or company resolution to execute plan operational documents and consent to service-provider access; their signature confirms administrative authority and operational acceptance.

Authorized Officer

An officer of the sponsoring employer (CEO, CFO, or designee) with delegated signing authority for legal and financial obligations; this signature binds the organization to fiduciary covenants and indemnity clauses.

Core sections to include in a professional Plan Sponsor Agreement

A complete agreement organizes responsibilities, security, and performance expectations so both sponsor and provider can operate consistently and evidence compliance when required.

Scope of Services

Define precisely which administrative, recordkeeping, and communication tasks the provider will perform, including exclusions and escalation paths for exceptions.

Authority and Delegation

Specify who may act for the sponsor, how decisions are recorded, and any conditions under which the provider may rely on sponsor instructions.

Data Security and Privacy

Describe data access, encryption standards, breach notification timing, and any HIPAA or state privacy obligations applicable to participant information.

Fees and Payment Terms

State fee schedules, invoicing cadence, deductions from plan assets (if any), reimbursement of expenses, and late payment remedies.

Reporting and Audit Rights

Set reporting frequency, contents of reconciliation reports, and the sponsor's right to audit or inspect records and supporting documentation.

Term, Termination, and Transition

Include effective and expiration dates, termination for cause/for convenience, transition assistance obligations, and data return or destruction procedures.

Essential information the agreement must capture

Plan Name: Exact plan title
Sponsor EIN: Employer Identification Number
Plan Number: Three-digit plan number (PN)
Plan Type: e.g., 401(k), 403(b), defined benefit
Effective Date: MM/DD/YYYY
Sponsor Contact: Name and contact info

Step-by-step: completing a Plan Sponsor Agreement

Follow these sequential steps to prepare, review, and execute the agreement while preserving an auditable record.

  • 01
Gather records: Collect plan documents, EIN, plan number, and trustee resolutions.
  • 02
Draft terms: Define services, fees, and data-security requirements.
  • 03
Legal review: Have ERISA counsel review fiduciary and indemnity provisions.
  • 04
Execute and retain: Sign, date, and store the final executed agreement in secure records.

Configuring an online workflow for the agreement

When using an eSignature platform, configure fields, authentication, and routing to match legal and operational requirements.

Field Configuration
Signature Require signature + printed name + date
Authentication Email + optional SMS code or ID check
Routing Sequential: sponsor → provider → counsel
Retention Store signed PDF with audit trail

Where to file, send, and keep the executed agreement

After execution, distribute copies to stakeholders and store originals and records for compliance and audits.

  • Sponsor Records: Keep original signed agreement in HR/benefits filing system.
  • Service Provider: Provider retains a signed copy in its administrative file.
  • Legal Counsel: Counsel should retain an executed copy for legal reference.
  • Secure Archive: Store long-term copies in encrypted document storage with access controls.

Digital signing and technical requirements for eSubmission

Use an eSignature platform that supports secure authentication, audit trails, and compliant record retention.

  • Authentication: Email link, SMS code, KBA or ID verification
  • Document formats: PDF, DOCX, and editable templates
  • Integrations: Connectors for HRIS, payroll, and document storage

Confirm the platform can export a signed PDF with an audit trail, preserve tamper evidence, and allow secure long-term storage.

Penalties and operational risks from an incorrect agreement

Fiduciary exposure: Increased liability
Regulatory fines: DOL or IRS penalties

Service disruption: Delayed participant transactions
Data breach costs: Remediation and notification expenses
Contract disputes: Litigation and indemnity claims

Practical examples of Plan Sponsor Agreement use

Two concise scenarios show how agreements address onboarding and provider changes in practice.

Onboarding a new TPA

Sponsor negotiates scope and data migration terms

  • Transition period of 60 days
  • The agreement required staged data transfer, reconciliation checkpoints, and a two-person acceptance sign-off to avoid payroll disruptions and failed participant transactions.

Switching recordkeepers

Sponsor requires indemnity and audit access

  • Final reconciliations performed
  • The outgoing provider delivered participant files under agreed format and the contract required thirty days of post-termination support to reconcile final contributions and prevent compliance failures.
