PLANNING SERVICES AMENDMENT

Recitals

WHEREAS, the parties entered into a Planning Services Agreement dated (the "Agreement") pursuant to which the Consultant provided planning, analysis and related services to the Client; and

WHEREAS, the parties desire to amend certain terms of the Agreement to reflect changes in scope, compensation, schedule and other provisions as set forth below; and

WHEREAS, except as expressly amended by this Planning Services Amendment (the "Amendment"), the Agreement remains in full force and effect.

1. Amendment to Scope of Services

The Scope of Services under the Agreement is amended to include the additional tasks described below. Consultant shall perform these tasks in accordance with the professional standards applicable to planning consultants and the schedule in Section 3.

2. Payment Terms

In consideration for the additional services described herein, Client shall pay Consultant the fees and reimbursements described below. All invoices shall include reasonable detail of work performed and shall be due pursuant to the schedule below.

3. Term and Termination

The Agreement is amended as to the term and termination as follows. All other termination provisions of the Agreement remain in effect unless expressly changed below.

Termination for cause shall be governed by the Agreement. If terminated for convenience by the Client, Consultant shall be entitled to payment for services performed and reimbursable expenses incurred up to the effective date of termination.

4. Confidentiality

All confidential information exchanged in connection with the Agreement shall continue to be protected pursuant to the Agreement. Consultant shall not disclose Client's confidential information except as required by law or as necessary to perform the services. The obligations of confidentiality shall survive termination or expiration of the Agreement for after termination.

5. Governing Law

This Amendment shall be governed by and construed in accordance with the laws of the state of without regard to conflicts of law principles.

6. Entire Agreement; Effect of Amendment

Except as expressly modified by this Amendment, the Agreement remains unmodified and in full force and effect. In the event of any conflict between the terms of the Agreement and this Amendment, the terms of this Amendment shall control to the extent of the inconsistency.

7. Representations and Authority

Each party represents and warrants that it has full power and authority to enter into this Amendment and that the person signing below has been duly authorized to execute this Amendment on behalf of the party.

This Amendment may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument. Electronic signatures shall be effective to bind the parties.
