PLANT CARE GUIDE AND SERVICE AGREEMENT

This Plant Care Guide and Service Agreement ("Agreement") is entered into as of Effective Date: by and between Client Name: and Service Provider Name: .

WHEREAS

WHEREAS, Client engages Provider to prepare a written and practical Plant Care Guide and to provide associated maintenance services for the plants listed in this Agreement; and

WHEREAS, Provider represents that it has the technical competence, personnel and experience to prepare plant-specific care instructions, schedules, and to advise on plant health consistent with industry standards; and

WHEREAS, the parties desire to set forth the terms and conditions governing the preparation, delivery and use of the Plant Care Guide and any ongoing maintenance services.

SCOPE OF WORK

Provider shall prepare and deliver a Plant Care Guide ("Guide") covering the items and services described below. The Guide will include plant identification, environmental requirements, watering and feeding schedules, pest and disease management, pruning and propagation instructions, and emergency response procedures. Provider shall also, if selected below, perform periodic maintenance visits as specified in the Maintenance Schedule.

PAYMENT TERMS

Client shall pay Provider the fees described below in consideration for preparation of the Guide and any maintenance services. All fees are exclusive of applicable taxes unless otherwise stated.

Late payments shall accrue interest and fees as set forth below.

This Agreement commences on Start Date and continues until End Date, unless earlier terminated in accordance with this section.

CONFIDENTIALITY

Each party acknowledges that in performance of this Agreement it may receive Confidential Information of the other party. "Confidential Information" means non-public information marked or identified as confidential or that a reasonable person would understand to be confidential under the circumstances. Recipient shall (a) use Confidential Information solely to perform obligations under this Agreement, (b) restrict disclosure to those employees or contractors with a need to know, and (c) protect Confidential Information with at least the same degree of care as it uses to protect its own confidential information, but no less than reasonable care.

WARRANTIES; LIMITATION OF LIABILITY

Provider warrants that the Guide will be prepared in a professional manner consistent with customary horticultural practices. Except as expressly set forth, Provider makes no other warranties, express or implied. Except for willful misconduct or gross negligence, Provider's aggregate liability arising out of or related to this Agreement shall be limited to fees actually paid by Client to Provider under this Agreement in the twelve (12) months preceding the claim.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles.

ENTIRE AGREEMENT

This Agreement, including all appendices and the Guide when delivered and accepted, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals and communications, whether written or oral. No amendment shall be binding unless in writing signed by both parties.

ACCEPTANCE

Client shall accept the Guide in writing within the acceptance period set forth in the Scope of Work. If Client provides written notice of deficiencies, Provider shall have a reasonable cure period to correct such deficiencies in accordance with the acceptance process described in the Scope of Work.
