WHEREAS, Service Provider is engaged in the business of providing horticultural services and represents that it has the skill, experience, licensing, and insurance necessary to perform the services described in this Plant Care Plan; and

NOW, THEREFORE, in consideration of the mutual covenants set forth below, the parties agree as follows:

All sums due under this Plan shall be payable in lawful currency and are due immediately upon invoice unless otherwise specified in the payment schedule. Service Provider may suspend services for any account overdue by more than 30 days after providing written notice to Client.

Either party may terminate this Plan for material breach if the breaching party fails to cure within the notice period above. Termination shall not relieve Client of its obligation to pay for services performed and expenses incurred prior to termination.

Tools, Supplies and Access

Responsibility for tools, materials and supplies:

Access: Client shall provide Service Provider with safe access to the Service Location during agreed service windows. Where keys or electronic access codes are provided, Service Provider shall maintain custody and use them only to perform services under this Plan and shall promptly return or destroy access credentials upon termination.

Insurance, Liability and Indemnity

Service Provider shall maintain commercial general liability insurance and workers' compensation as required by law. Service Provider's liability for direct damages arising from negligent acts shall be limited to the total fees paid by Client to Service Provider under this Plan for the 12 months preceding the claim. Neither party shall be liable for incidental, consequential, or punitive damages except for claims arising from gross negligence or willful misconduct.

Client shall indemnify and hold Service Provider harmless from third-party claims arising from pre-existing conditions at the Service Location or Client's failure to disclose hazards.

Confidentiality

Each party shall keep confidential any proprietary or non-public information obtained from the other party in connection with this Plan. Confidential information shall not include information that was publicly known at the time of disclosure or is lawfully obtained from a third party. This obligation survives termination of the Plan for a period of two (2) years.

Governing Law and Dispute Resolution

Governing Law: This Plan shall be governed by and construed in accordance with the laws of the state identified below. Any dispute arising under this Plan shall be resolved first by good-faith negotiation between parties, then by mediation if negotiation fails. If unresolved, either party may pursue claims in a court of competent jurisdiction.

Entire Agreement

This Plant Care Plan, together with any exhibits or attachments signed by the parties, constitutes the entire agreement between Client and Service Provider concerning the subject matter hereof and supersedes all prior oral or written agreements, understandings and representations. Any amendments must be in writing and signed by both parties.

Notices

Notices under this Plan shall be in writing and delivered to the contact information provided above by personal delivery, certified mail, or other traceable carrier. Notices are effective upon receipt.

Acknowledgment

The parties acknowledge that they have read and understand this Plant Care Plan, that they are authorized to enter into this agreement, and that the terms are fair and reasonable.
