PLATINUM MEMBERSHIP AGREEMENT

WHEREAS, Member desires to obtain the premium services, access, and benefits identified in this Agreement and to be admitted as a Platinum member of Organization; and

WHEREAS, Organization provides exclusive membership services, programming, and support to eligible members in accordance with the terms set forth herein; and

NOW, THEREFORE, in consideration of the mutual covenants and agreements contained in this Agreement, the parties agree as follows:

Late Payment: A late fee of % per month (or the maximum permitted by law) will accrue on any unpaid balance thirty (30) days after the due date. Member shall also be responsible for reasonable costs of collection, including attorneys' fees.

Renewal: This Agreement shall automatically renew for successive one-year periods unless either party provides written notice of non-renewal at least days prior to the then-current term expiration.

Termination for Cause: Either party may terminate this Agreement immediately upon written notice if the other party materially breaches any provision of this Agreement and fails to cure the breach within thirty (30) days after receipt of written notice specifying the breach.

CONFIDENTIALITY

Definition: "Confidential Information" means non-public business, technical, financial, membership, and proprietary information disclosed by one party to the other, whether oral, written, or electronic, that is identified as confidential or that a reasonable person would understand to be confidential under the circumstances.

Obligations: Each party shall (a) maintain Confidential Information in strict confidence; (b) use Confidential Information solely to perform its obligations under this Agreement; and (c) restrict disclosure to employees, contractors, and advisors who have a need to know and are bound by confidentiality obligations no less protective than those set forth herein. These obligations survive termination of this Agreement for a period of three (3) years.

LIMITATION OF LIABILITY

Except for liability arising from gross negligence, willful misconduct, or breaches of confidentiality, neither party shall be liable to the other for indirect, incidental, consequential, punitive, or special damages. The aggregate liability of each party for claims arising under this Agreement shall not exceed the total fees paid by Member under this Agreement during the twelve (12) months preceding the claim.

NOTICES

All notices required or permitted under this Agreement shall be in writing and delivered to the contact information provided above and shall be effective upon receipt.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflicts of law principles. Exclusive venue for any dispute arising out of this Agreement shall be the state or federal courts located within that state.

ENTIRE AGREEMENT

This Agreement, including all schedules and exhibits attached hereto, constitutes the entire understanding and agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, representations, and understandings. Any amendment or modification of this Agreement must be in writing and signed by both parties.

MISCELLANEOUS

Assignment: Member may not assign or transfer this Agreement or any rights hereunder without the prior written consent of Organization. Organization may assign this Agreement in connection with a merger, sale of substantially all assets, or to an affiliate.

Severability: If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
