PLAYER AGREEMENT

This Player Agreement ("Agreement") is made and entered into between the following parties on the date set forth below.

WHEREAS

WHEREAS, the Organization operates a competitive athletic program and desires to engage the Player to perform athletic services and represent the Organization in competitions, exhibitions and related promotional activities; and

WHEREAS, the Player represents that the Player possesses the requisite skill, fitness and eligibility to perform such services and is willing to provide such services under the terms and conditions set forth herein; and

WHEREAS, the parties desire to set forth their rights and obligations with respect to the Player's participation and compensation.

SCOPE OF WORK

The Player shall perform the duties and responsibilities described below in a professional manner and in compliance with Organization rules, policies and schedules. The Player shall make reasonable efforts to attend all team practices, matches and required events, subject to injury and excused absences approved by the Organization.

PAYMENT TERMS

In consideration for the services rendered by the Player, the Organization shall pay the Player in accordance with the following payment provisions. All payments are subject to applicable tax withholdings and deductions as required by law.

TERM AND TERMINATION

This Agreement commences on the Start Date and, unless earlier terminated in accordance with this Agreement, shall continue through the End Date.

Either party may terminate this Agreement immediately upon written notice for material breach by the other party that remains uncured after the notice period set forth above, or immediately for cause in the event of gross misconduct, criminal conviction affecting performance, or conduct materially detrimental to the Organization.

CONFIDENTIALITY

The Player acknowledges that during the course of engagement the Player may have access to confidential or proprietary information of the Organization, including but not limited to training methods, tactical plans, player evaluations, financial terms, sponsor lists and non-public commercial information ("Confidential Information"). The Player agrees to hold such Confidential Information in strict confidence and not to disclose or use it except as necessary to perform duties under this Agreement or as required by law.

The confidentiality obligations set forth herein shall continue during the Term and for a period of two (2) years following termination of the Term, except with respect to trade secrets, for which protection shall remain for as long as such information qualifies as a trade secret.

IMAGE RIGHTS AND INTELLECTUAL PROPERTY

The Player grants the Organization a non-exclusive, royalty-free license to use the Player's name, likeness and biographical information for promotional, commercial and media purposes in connection with the Organization's activities during the Term. The Player retains all rights to personal endorsements outside the scope of Organization-approved activities unless otherwise agreed in writing.

MEDICAL, INSURANCE AND FITNESS

The Player represents that the Player is medically fit to perform the duties under this Agreement and will disclose any condition that may impair performance. The Organization will maintain the insurance coverage specified below or provide the Player with written notice if the Player is required to maintain personal insurance.

INDEMNIFICATION

The Player shall indemnify, defend and hold harmless the Organization and its officers, directors, coaches and agents from and against any liabilities, losses, claims, damages, costs and expenses (including reasonable attorneys' fees) arising out of the Player's gross negligence, willful misconduct, breach of this Agreement or material violation of law.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of laws rules. Any dispute arising under this Agreement shall be resolved in the courts located in that state unless the parties agree otherwise in writing.

ENTIRE AGREEMENT

This Agreement, including any schedules and attachments expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings and communications, written or oral. No amendment or modification of this Agreement will be effective unless in writing and signed by both parties.

If any provision of this Agreement is held to be invalid or unenforceable, the remainder of this Agreement will continue in full force and effect and the invalid or unenforceable provision will be reformed only to the extent necessary to make it enforceable.
