PLAYER CONTRACT AGREEMENT

This Player Contract Agreement (the "Agreement") is entered into on by and between , with a principal place of business at (hereinafter "Club"), and , residing at (hereinafter "Player").

RECITALS

WHEREAS, Club operates a professional sports organization and desires to engage Player to perform athletic services as set forth herein; and

WHEREAS, Player is willing and able to render such services under the terms and conditions of this Agreement, including compliance with training, conduct, and medical requirements; and

WHEREAS, the parties desire to set forth their entire agreement regarding the engagement of Player by Club.

NOW, THEREFORE, in consideration of the mutual covenants and promises contained herein, the parties agree as follows:

1. ENGAGEMENT; POSITION

Club hereby engages Player to perform professional athletic services as a and Player accepts such engagement upon the terms and conditions of this Agreement. Player shall perform all duties reasonably requested by Club, including participation in matches, training, promotional appearances, and community obligations consistent with Club policies.

2. TERM

The term of this Agreement shall commence on and shall continue until unless earlier terminated in accordance with Section 9 below.

3. COMPENSATION

As full compensation for all services rendered under this Agreement, Club shall pay Player the total amount of payable in accordance with the payment schedule set forth below. All compensation is subject to applicable tax withholdings and deductions as required by law.

4. DUTIES, STANDARDS AND CONDUCT

Player shall perform duties in a professional manner consistent with the standards of the sport and Club policies, including attendance at scheduled practices, meetings, and matches. Player shall comply with Club rules, the code of conduct, and any applicable league regulations. Failure to meet these standards may result in discipline, suspension, or termination in accordance with Section 9.

5. MEDICAL EXAMINATION AND FITNESS

Player shall undergo a medical examination and fitness assessment by a Club-designated physician within of the effective date. Continued eligibility to perform under this Agreement is conditioned upon satisfactory medical clearance. Player must promptly disclose any material injury or condition that impairs ability to perform.

6. INSURANCE

Club shall provide or arrange the following insurance coverage for Player as described below. The parties acknowledge that specific policy limits and terms are governed by the insurance policies themselves.

7. REPRESENTATIONS AND WARRANTIES

Each party represents and warrants that it has full corporate or legal authority to enter into this Agreement and that entering into this Agreement does not violate any other agreement or legal obligation. Player represents that he/she is not under contract with any other club, has disclosed all material medical conditions, and will comply with applicable laws and regulations.

8. CONFIDENTIALITY AND PUBLICITY

Player shall keep confidential all non-public Club information learned in the course of employment. Club may use Player's name, photograph and likeness for promotional purposes unless restricted by written agreement. Any endorsement or third-party promotional activity shall require Club's prior written consent where such activity conflicts with Club obligations.

9. TERMINATION

This Agreement may be terminated as follows:

(a) For Cause: Club may terminate immediately for material breach, willful misconduct, failure to pass medical clearance, or conviction of a felony. Player may terminate for Club's material breach if Club fails to cure within the notice period below.

(b) Without Cause: Either party may terminate without cause upon prior written notice to the other party.

10. INDEMNIFICATION

Each party shall indemnify and hold harmless the other party and its officers, directors, employees and agents from and against any claims, liabilities, losses or expenses (including reasonable attorneys' fees) arising out of the indemnifying party's breach of this Agreement, negligence, or willful misconduct.

11. INTELLECTUAL PROPERTY

All intellectual property rights arising from Club-organized activities, including team logos and promotional materials, shall remain the property of Club. Player assigns to Club all rights in any materials created in the scope of Club employment and grants Club a perpetual, worldwide, royalty-free license to use Player's name, image and likeness for Club-related purposes, subject to any separate endorsement agreements.

12. NOTICES

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth below or to such other address as either party may specify in writing.

13. AMENDMENTS; WAIVER; COUNTERPARTS

This Agreement may not be amended except by a written instrument signed by both parties. No waiver of any provision shall be effective unless in writing and signed by the waiving party. This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one instrument.

14. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state or jurisdiction indicated below, without regard to conflict of laws principles. The parties submit to the exclusive jurisdiction of courts located in that jurisdiction.

15. ENTIRE AGREEMENT; SEVERABILITY

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings. If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

16. MISCELLANEOUS PROVISIONS

If any dispute arises under this Agreement, the parties shall first attempt in good faith to resolve such dispute through negotiation. The headings in this Agreement are for convenience only and shall not affect interpretation.
