PLUMBING SERVICE AGREEMENT

RECITALS

WHEREAS, Service Provider is duly licensed and equipped to perform plumbing installation, repair and maintenance services; and

WHEREAS, Client desires to engage Service Provider to perform plumbing services at the work location described below under the terms and conditions set forth in this Agreement; and

WHEREAS, the parties wish to set forth the scope, payment terms, warranty, and other material terms in writing.

Either party may terminate this Agreement for convenience upon days' prior written notice to the other party. Either party may terminate immediately for material breach if the breaching party fails to cure within days after receipt of written notice specifying the breach.

Upon termination, Client shall pay Service Provider for all work performed and materials purchased up to the effective date of termination, including reasonable demobilization costs.

WARRANTY; INSURANCE

Service Provider warrants that labor performed under this Agreement shall be free from defects in workmanship for a period of days from completion. This warranty does not cover damage caused by misuse, freeze, chemical exposure, alteration, or preexisting conditions.

Service Provider shall maintain commercial general liability and workers' compensation insurance in amounts customary for the plumbing industry. Certificate of insurance shall be provided upon reasonable request.

CONFIDENTIALITY

Each party shall maintain in confidence all non-public business information and records of the other party disclosed in connection with this Agreement ("Confidential Information"). Confidential Information shall not include information that is publicly available through no fault of the receiving party, independently developed without reference to the disclosing party's information, or lawfully obtained from a third party. Confidential Information shall be used solely for performance under this Agreement and not disclosed to third parties except to employees, subcontractors or agents on a need-to-know basis who are bound to maintain confidentiality.

INDEMNIFICATION AND LIMITATION OF LIABILITY

Service Provider shall indemnify and hold harmless Client from liabilities, losses and expenses arising from Service Provider's negligence or willful misconduct in performing the services. Client shall indemnify Service Provider for claims arising from Client's negligence, misuse of equipment, or failure to disclose known hazards. Except for willful misconduct or gross negligence, neither party's liability for direct damages shall exceed the total amount paid under this Agreement for the specific work giving rise to the claim. In no event shall either party be liable for incidental, consequential, or punitive damages.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of laws principles. Any dispute arising out of or relating to this Agreement shall be resolved in the state or federal courts located in that state.

ENTIRE AGREEMENT; AMENDMENT

This Agreement, including any attachments and written change orders executed by both parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior negotiations and understandings. No modification, amendment or waiver of this Agreement shall be effective unless in writing and signed by an authorized representative of each party.

MISCELLANEOUS PROVISIONS

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. Neither party may assign this Agreement without the prior written consent of the other party, except that Service Provider may assign to an affiliate or as part of a sale of substantially all assets.
