PLUMBING SERVICE SEWER LINE AGREEMENT

This Plumbing Service Sewer Line Agreement (the Agreement) is entered into by and between Client Name: and Contractor Name: (collectively, the Parties).

WHEREAS

WHEREAS, Client requires professional plumbing services related to the inspection, repair, replacement or cleaning of the sewer line serving the property located at Service Address: ; and

WHEREAS, Contractor is duly licensed, insured and qualified to perform sewer line plumbing services and agrees to perform such services under the terms and conditions set forth in this Agreement.

SCOPE OF WORK

PAYMENT TERMS

Total Contract Price: $ . Client shall pay the Contract Price to Contractor according to the following schedule.

Late Payment: Any unpaid balance not paid within days of the due date shall incur interest at , compounded monthly, until paid in full.

Change Orders: Any change in the Scope of Work that affects cost or schedule must be documented in a written change order executed by both Parties prior to performance of the changed work. Additional labor and materials resulting from concealed conditions or unforeseen obstructions shall be charged as change orders.

PERMITS, ACCESS AND SITE CONDITIONS

Responsibility for obtaining any required permits: Contractor Client

Client shall provide reasonable access to the work location and shall disclose known subterranean utilities, prior repairs, or conditions that may affect performance. Contractor shall exercise reasonable care to protect existing improvements but is not responsible for pre-existing defects unless caused by Contractor's work.

WARRANTIES AND LIABILITY

Contractor warrants that work performed under this Agreement will be free from defects in workmanship for a period of from completion. Manufacturer warranties for parts and materials shall pass through to Client to the extent assignable.

Limitation of Liability: Except for willful misconduct or gross negligence, Contractor's liability for damages arising out of or in connection with this Agreement shall be limited to direct damages not to exceed the total Contract Price. Contractor is not liable for consequential, incidental, or punitive damages.

INDEMNIFICATION

Each Party shall indemnify, defend and hold harmless the other Party and its agents from and against any claims, losses, liabilities, damages and expenses (including reasonable attorneys' fees) arising from that Party's negligence, willful misconduct or breach of this Agreement.

TERM AND TERMINATION

This Agreement commences on the Start Date: and shall continue until the Completion Date: , unless earlier terminated according to this section.

Either Party may terminate this Agreement for material breach if the breaching Party fails to cure such breach within days after written notice. Either Party may also terminate for convenience upon days' prior written notice to the other Party, with payment due for work performed and materials procured to the date of termination.

CONFIDENTIALITY

Each Party shall treat as confidential all non-public information disclosed by the other Party in connection with the performance of this Agreement and shall not disclose such information to third parties except as required by law or to perform the obligations hereunder. Confidential obligations survive termination for a period of .

INSURANCE

Contractor shall maintain commercial general liability and, where applicable, workers' compensation and automobile liability insurance with limits sufficient for the type of work performed. Upon request, Contractor will provide certificates of insurance evidencing coverage.

GOVERNING LAW AND DISPUTE RESOLUTION

The Parties agree that any dispute arising out of or related to this Agreement shall first be submitted to non-binding mediation. If unresolved, disputes shall be resolved by binding arbitration or in the courts located within the governing law jurisdiction selected above, at the election of the prevailing Party.

ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior oral or written negotiations, representations or agreements. Any amendment or modification of this Agreement must be in writing and signed by both Parties.
