RECITALS

WHEREAS, Client requires plumbing labor, materials, and services as described in this Agreement; and

WHEREAS, Contractor represents that it is duly licensed, insured and qualified to perform plumbing services and agrees to perform such services according to the terms set forth herein; and

WHEREAS, the parties desire to formalize the scope, payment, term and other obligations for the plumbing work to be performed at the Client property.

SCOPE OF WORK

Contractor shall perform the plumbing services, labor and supply materials as described below. The services to be provided include, but are not limited to, the tasks identified in the scope and any attachments. Work shall be performed in a professional and workmanlike manner consistent with industry standards.

CHANGE ORDERS

Any material changes to the scope, price, or schedule must be documented in a written change order signed by both parties. Contractor shall not be required to perform work outside the written scope until a signed change order is executed.

Either party may terminate this Agreement for material breach if the breach is not cured within days after written notice. Termination by Client without cause entitles Contractor to payment for work performed and reasonable demobilization costs.

CONFIDENTIALITY

Each party shall keep confidential any proprietary information received in connection with this Agreement and shall not disclose such information to third parties except as required by law or as necessary to perform the work. Confidential information does not include information that is publicly available or independently developed without use of the other party's confidential information.

INSURANCE, INDEMNIFICATION AND WARRANTY

Contractor shall maintain general liability and worker's compensation insurance in amounts consistent with industry standards and shall provide proof of insurance upon Client's request. Contractor shall indemnify and hold harmless Client from claims arising from Contractor's negligent performance, except to the extent caused by Client's negligence.

Workmanship Warranty: Contractor warrants labor performed by Contractor for a period of months from final completion against defects in workmanship. Warranty remedies are limited to repair or replacement of defective work at Contractor's option.

PERMITS, CODE COMPLIANCE, AND SAFETY

Contractor shall obtain or secure any permits required for the work unless otherwise agreed in writing. Contractor shall perform work in compliance with applicable codes and standards and shall maintain a safe work environment.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of law rules.

ENTIRE AGREEMENT

This Agreement, together with any attachments and signed change orders, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior negotiations, representations, and agreements, whether written or oral.

MISCELLANEOUS

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force. Notices required under this Agreement shall be in writing and delivered to the addresses set forth above or such other address as either party designates in writing.
