PLUMBING SERVICES CONTRACT

This Plumbing Services Contract (the "Agreement") is entered into as of by and between Client Name: with Address: (hereinafter "Client"), and Contractor Name: with Address: (hereinafter "Contractor").

RECITALS

WHEREAS, Contractor is duly licensed and qualified to perform plumbing services, and represents that Contractor holds License Number: issued by State: ; and

WHEREAS, Client desires to engage Contractor to perform certain plumbing services at the premises located at Address: in accordance with the terms and conditions set forth herein; and

WHEREAS, Contractor agrees to perform such services and supply materials as required by this Agreement subject to the terms, conditions, and payment provisions herein.

NOW, THEREFORE

In consideration of the mutual promises contained in this Agreement, the parties agree as follows:

1. SCOPE OF WORK

1.1 Contractor shall perform the plumbing services described in the Scope of Work. The detailed Scope of Work is as follows:

1.2 Contractor shall furnish all labor, materials, tools, equipment and supervision necessary to complete the Scope of Work in a good and workmanlike manner and in compliance with applicable codes, ordinances and regulations.

2. SCHEDULE

2.1 Commencement Date: Contractor shall commence work on or about . Substantial Completion is estimated on or before . Time is of the essence for completion of the Scope of Work.

2.2 Contractor shall notify Client promptly of any conditions that will delay the schedule or increase costs. Contractor is responsible for coordinating inspections required by authorities having jurisdiction.

3. CONTRACT PRICE AND PAYMENT

3.1 Contract Price: Client shall pay Contractor the total contract price of $ (the "Contract Price") for completion of the Scope of Work, subject to additions and deductions as provided in this Agreement.

3.2 Deposit: Client shall pay a deposit of $ prior to commencement of work. Final payment is due upon completion and acceptance of the Scope of Work.

3.3 Late Payment: Any undisputed amount not paid when due shall accrue interest at the lesser of 1.5% per month or the maximum permitted by law. Client shall pay reasonable collection costs, including attorneys' fees, for amounts past due.

4. CHANGE ORDERS

4.1 Any change in the Scope of Work, Contract Price, or schedule must be approved in writing by the parties in a Change Order executed by Client and Contractor. Change Orders shall set forth the change in work, the adjustment in price and any adjustment in the schedule.

5. PERMITS AND REGULATORY COMPLIANCE

5.1 Contractor shall obtain and pay for all permits, licenses and inspections required for the performance of the Scope of Work, unless otherwise agreed in writing. Contractor shall perform all work in compliance with applicable plumbing codes and laws.

6. MATERIALS; WARRANTIES

6.1 Materials shall be new unless otherwise specified. Contractor warrants that all materials and workmanship furnished under this Agreement shall be free from defects for a period of from the date of completion. This warranty requires repair or replacement of defective work at Contractor's expense, provided Client gives prompt written notice of any defect.

6.2 The foregoing warranty is in lieu of all other warranties, express or implied, including any warranty of merchantability or fitness for a particular purpose, except as expressly stated herein.

7. INSURANCE AND INDEMNITY

7.1 Insurance: Contractor shall maintain commercial general liability insurance with limits not less than $ per occurrence, and workers' compensation insurance as required by law. Upon request, Contractor shall provide certificates of insurance to Client.

7.2 Indemnity: Contractor shall indemnify, defend and hold Client harmless from and against all claims, liabilities, losses, damages, costs and expenses (including reasonable attorneys' fees) arising out of or resulting from Contractor's performance of the Scope of Work, except to the extent caused by Client's negligence or willful misconduct.

8. INSPECTIONS AND ACCEPTANCE

8.1 Client shall have the right to inspect the work during reasonable business hours. Final acceptance occurs when work is completed in accordance with the Scope of Work and any punch list items are corrected. Acceptance shall not relieve Contractor of its warranty obligations.

9. DEFAULT AND TERMINATION

9.1 If either party materially breaches this Agreement and fails to cure within fourteen (14) days after written notice, the non-breaching party may terminate this Agreement. Upon termination for Contractor's default, Client may complete the work and charge Contractor for the cost of completion; Contractor shall be liable for such excess costs.

10. LIMITATION OF LIABILITY

10.1 Except for Contractor's indemnity obligations and willful misconduct, neither party shall be liable to the other for consequential, incidental, special, or punitive damages, whether in contract, tort, or otherwise.

11. NOTICES

11.1 All notices, requests, consents and other communications required or permitted under this Agreement shall be in writing and delivered to the parties at the addresses set forth below or such other address as either party may designate by written notice.

12. AMENDMENTS; WAIVER; COUNTERPARTS

12.1 This Agreement may be amended only by a written instrument signed by both parties. Failure by either party to enforce any provision shall not constitute a waiver of that provision or the right to enforce it later. This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one instrument.

13. GOVERNING LAW; DISPUTE RESOLUTION

13.1 Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflicts of law principles.

13.2 Dispute Resolution: The parties shall attempt in good faith to resolve disputes arising out of or relating to this Agreement promptly by negotiation. If the dispute cannot be resolved within thirty (30) days, the parties agree to submit the dispute to mediation before pursuing other remedies. Either party may seek injunctive relief where necessary to protect rights pending resolution.

14. ENTIRE AGREEMENT; SEVERABILITY

14.1 Entire Agreement: This Agreement, including all exhibits and Change Orders, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether written or oral.

14.2 Severability: If any provision of this Agreement is held to be invalid, illegal or unenforceable in any respect, the remaining provisions shall remain in full force and effect and such invalid provision shall be reformed to the minimum extent necessary to make it valid and enforceable.

15. MISCELLANEOUS

15.1 Independent Contractor: Contractor is an independent contractor and not an employee, agent or partner of Client. Contractor shall be solely responsible for payment of all taxes, insurance and benefits for Contractor's employees and subcontractors.
