Usage Rights & License

Publisher grants Advertiser a non-exclusive, worldwide license to use creative materials delivered by Advertiser in connection with the Campaign for the term of from the first air date for promotional use by Publisher on the Channels specified above. Additional rights require a separate written license and fee.

FTC Disclosure Compliance

Publisher shall include clear and conspicuous disclosure of the material connection between Advertiser and Publisher in each sponsored placement as required by law. Required disclosure language:

Publisher represents and warrants that any endorsement or statement about Advertiser's products will reflect Publisher's honest opinions, findings, beliefs, or experience, and that the disclosure will be made in a manner reasonably calculated to be understood by typical listeners.

Exclusivity

Termination

Either party may terminate this Agreement for material breach if the breaching party fails to cure within days after written notice. Intellectual Property

Each party retains ownership of its pre-existing intellectual property. Advertiser retains ownership of Advertiser-provided materials. Publisher retains ownership of Publisher-created content and recordings, subject to the license granted herein. Use of Publisher content by Advertiser beyond the license requires separate written permission and payment.

Representations, Warranties & Indemnification

Each party represents and warrants that it has full power and authority to enter into this Agreement and that performance will not violate any applicable law. Advertiser warrants that materials provided do not infringe third-party rights. Each party agrees to indemnify, defend, and hold the other harmless from third-party claims arising from breach of its representations or from negligent or willful misconduct, subject to the indemnifying party's control of the defense and settlement.

Limitation of Liability

Except for liability arising from willful misconduct, gross negligence, or indemnification obligations, neither party's aggregate liability to the other for any claim arising under this Agreement shall exceed the total fees paid or payable by Advertiser to Publisher under this Agreement.

Confidentiality

The parties shall maintain confidentiality of non-public information disclosed in connection with this Agreement for a period of two (2) years following termination, except where disclosure is required by law.

Force Majeure; Governing Law

Neither party shall be liable for delays or failures due to events beyond its reasonable control. This Agreement shall be governed by the laws specified here: , without regard to conflict of law principles.
