PODCAST FEEDBACK QUESTIONNAIRE AND FEEDBACK AGREEMENT

Recitals

WHEREAS, Producer produces and publishes a podcast titled (the "Podcast"); and

WHEREAS, Producer desires to obtain structured written feedback and evaluations of certain Podcast episodes and related materials; and

WHEREAS, Respondent has expertise, access, or audience experience relevant to the Podcast and is willing to provide candid feedback under the terms set forth in this Agreement.

Scope of Work

Respondent will review and provide feedback on the episode(s) specified below and any ancillary materials delivered by Producer. Feedback may include assessments of content, structure, pacing, guest performance, technical quality, and audience relevance.

Payment Terms (if applicable)

Producer shall pay Respondent the amount of for the feedback services described herein, subject to the schedule below.

Late payments shall accrue interest at the lesser of 1.5% per month or the maximum rate permitted by law. Respondent may suspend further feedback if invoices remain unpaid for more than days after receipt.

Term and Termination

This Agreement commences on and continues until unless earlier terminated under this section.

Either party may terminate for convenience upon written notice to the other party delivered at least days prior to termination. Termination for material breach is effective immediately upon written notice if the breaching party fails to cure within 15 days after receipt of written notice.

Confidentiality

Each party shall keep confidential all non-public information of the other party disclosed in connection with this Agreement, including unreleased episode material and proprietary production notes ("Confidential Information"). Confidential Information shall not include information that is publicly available through no fault of the receiving party, lawfully received from a third party, or independently developed without use of the disclosing party's Confidential Information.

The receiving party shall use Confidential Information solely to perform its obligations under this Agreement and shall limit disclosure to employees or contractors who have a need to know and are under comparable confidentiality obligations.

Consent to Use Feedback and Release

Respondent grants Producer a perpetual, worldwide, royalty-free, transferable license to use, reproduce, publish and otherwise exploit written or recorded feedback provided hereunder, including excerpts for promotional or editorial purposes. If Respondent does not grant permission for public use, indicate below.

Representations and Warranties

Respondent represents and warrants that all feedback submitted is original, does not infringe any third-party intellectual property rights, and does not contain defamatory material. Governing Law; Entire Agreement

This Agreement shall be governed by and construed in accordance with the laws of , without regard to conflict of laws principles.

This Agreement constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous understandings, whether written or oral. Any modification must be in writing and signed by both parties.

By signing below, Respondent certifies that the feedback provided is truthful to the best of their knowledge and that they understand the rights granted to Producer under this Agreement. Producer acknowledges receipt of feedback and agrees to the payment and confidentiality terms where applicable.
