POINT OF SALE APPLICATION & SERVICE AGREEMENT

WHEREAS

WHEREAS, Merchant Name: operates a business that seeks to accept electronic payment card transactions and related services; and

WHEREAS, Processor Name: provides point of sale equipment, transaction processing, settlement services, and related support pursuant to the terms set forth herein; and

NOW, THEREFORE, in consideration of the mutual covenants contained in this Agreement and other good and valuable consideration, the parties agree as follows.

SCOPE OF WORK

Processor will provide the following services to Merchant as set forth in this Application and Agreement. The scope below describes services, equipment deployment, training obligations, and support responsibilities.

PAYMENT TERMS

Merchant shall pay fees for processing services, equipment, and related charges as follows.

Late Payment: Any amounts not paid when due shall accrue interest at the lesser of 1.5% per month (18% per annum) or the maximum rate permitted by law. Merchant shall be responsible for all collection costs, including reasonable attorney fees.

TERM AND TERMINATION

This Agreement shall commence on the Start Date below and shall continue for the Initial Term and thereafter shall renew as provided.

Termination for Convenience: Either party may terminate this Agreement after the Initial Term by providing Notice Period (days) below. Termination for Cause: Either party may terminate immediately upon material breach that remains uncured after ten (10) days' written notice.

CONFIDENTIALITY

For purposes of this Agreement, "Confidential Information" means non-public business, technical and financial information disclosed by either party. Each party shall (a) hold Confidential Information in confidence using at least the same degree of care it uses to protect its own confidential information; (b) not use Confidential Information except to perform obligations under this Agreement; and (c) not disclose Confidential Information to third parties except to employees, affiliates or service providers who have a need to know and are bound by comparable confidentiality obligations. Confidential Information does not include information that is or becomes publicly known through no breach by the receiving party, or that is independently developed without reference to the disclosing party's Confidential Information. The obligations of confidentiality shall survive termination for a period of three (3) years.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles. Venue for any action arising out of this Agreement shall be in the state or federal courts located within that state.

ENTIRE AGREEMENT

This Agreement, together with the Application, fee schedules, hardware addenda, and any written schedules executed by the parties, constitutes the entire agreement between Merchant and Processor with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, representations, and understandings, whether written or oral. Any modification must be in writing and signed by authorized representatives of both parties.

CERTIFICATION & AUTHORIZATION

The undersigned authorized representative of Merchant certifies that all information provided in this Application is accurate and complete. Merchant authorizes Processor to verify any information provided, to obtain consumer or business credit reports where permitted, and to contact banks and references. Merchant further authorizes Processor to initiate debit and credit entries to Merchant's bank account as required for settlement and permitted fees.
