PAYMENT TERMS

The Requesting Party agrees to reimburse the Police Department for personnel, equipment, and administrative costs associated with the services provided. Fees are calculated based on departmental rates, overtime, minimum staffing, and any special equipment needs.

Either party may terminate this Agreement for material breach following written notice and a reasonable opportunity to cure. The Police Department may also terminate or modify services immediately when required to protect public safety, comply with law, or respond to emergency conditions.

CONFIDENTIALITY

The parties acknowledge that certain information exchanged in connection with this request may be sensitive or protected. The Police Department will comply with applicable laws governing public records and privacy. The Requesting Party shall not disclose personnel deployment details, officer identities, or non-public operational information without express written consent of the Police Department.

The Requesting Party hereby acknowledges the confidentiality constraints and agrees to indemnify the Police Department for unauthorized disclosure of protected information arising from the Requesting Party's acts or omissions.

INDEMNIFICATION

The Requesting Party shall indemnify, defend, and hold harmless the Police Department, its officers, employees, and agents from and against all claims, liabilities, losses, damages, and expenses (including reasonable attorneys' fees) arising out of the Requesting Party's negligence, willful misconduct, breach of this Agreement, or the actions of attendees or contractors hired by the Requesting Party, except to the extent caused by the gross negligence or willful misconduct of the Police Department.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state in which the Police Department is located. Venue for any action arising under this Agreement shall be in the appropriate state or federal court located within the same jurisdiction.

ENTIRE AGREEMENT

This form, together with any attachments, departmental fee estimates, and written approvals executed by authorized representatives of the Police Department, constitutes the entire agreement between the parties with respect to the requested services and supersedes all prior negotiations and understandings. Any amendment must be in writing and signed by authorized representatives of both parties.
