Recitals

WHEREAS, the Policy Holder named above entered into a written policy identified by Policy Number issued by the Issuer on or about ; and

WHEREAS, the parties desire to amend certain provisions of the Policy in accordance with the terms set forth herein to reflect changes in coverage, premium, or administrative procedures; and

WHEREAS, the parties intend for this Amendment to modify only those specific provisions set forth below and otherwise leave the Policy in full force and effect except as expressly amended by this Instrument.

Amendment

Now, therefore, in consideration of the mutual covenants and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Policy is amended as follows:

Payment Terms

If this Amendment results in an adjustment to premium, fee, or other monetary consideration, the parties agree the following payment terms apply.

All sums due under this Amendment shall be payable in lawful currency. Failure to pay amounts when due shall entitle the non-breaching party to suspend coverage, assess late fees as specified above, and pursue any remedies available at law or equity, subject to any notice provisions set forth herein.

Term and Termination

This Amendment shall be effective as of the Effective Date set forth above and shall remain in effect until the Policy terminates or until the Amendment End Date below, whichever occurs first, unless earlier terminated pursuant to this section.

Either party may terminate this Amendment for material breach by the other party, provided the terminating party gives written notice specifying the breach and the breaching party fails to cure the breach within the notice period specified above. Termination of this Amendment shall not release either party from obligations accrued prior to termination, including payment obligations.

Confidentiality

Each party shall maintain in confidence all non-public information disclosed by the other party in connection with this Amendment and shall not use or disclose such information except as necessary to perform its obligations or as required by law. Confidential information does not include information that is or becomes publicly available through no fault of the receiving party, or that is rightfully received from a third party without breach of obligation.

Upon expiration or termination of this Amendment, each party shall promptly return or destroy confidential materials of the other party and certify such return or destruction upon request.

Representations and Warranty; Further Assurances

Each party represents and warrants that it has full power and authority to enter into and perform this Amendment and that the person signing below is duly authorized to execute this Amendment on behalf of such party. Each party shall execute such additional instruments and take such further actions as may be reasonably necessary to carry out the purposes of this Amendment.

Governing Law

This Amendment shall be governed by and construed in accordance with the laws of the jurisdiction specified below, without regard to principles of conflict of laws.

Entire Agreement

This Amendment, together with the Policy and any prior written amendments specifically incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter hereof, and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written, relating thereto. Except as expressly modified by this Amendment, the terms of the Policy remain in full force and effect.
