POOL MAINTENANCE SERVICE AGREEMENT

This Pool Maintenance Service Agreement ("Agreement") is made and entered into as of by and between Service Provider: and Client Name: .

RECITALS

WHEREAS, Service Provider is duly licensed and experienced in the maintenance, servicing and repair of residential and commercial swimming pools and related equipment; and

WHEREAS, Client owns or controls the property at and desires routine maintenance and associated services for the pool described herein; and

NOW, THEREFORE, in consideration of the mutual covenants and agreements set forth below, the parties agree as follows.

1. SCOPE OF WORK

Standard service shall include routine cleaning, skimming, emptying baskets, backwashing or filter cleaning as needed, testing and balancing of chemicals, inspection of visible equipment, and notification to Client of any recommended repairs or parts replacements not included in this Agreement. Any work beyond the Scope of Work must be documented in a Change Order and signed by both parties prior to commencement.

3. PAYMENT TERMS

Late payment shall accrue interest at per month, compounded monthly, or a minimum late fee of per missed payment, whichever is greater. Client is responsible for any collection costs, including reasonable attorney fees, incurred to collect overdue amounts.

4. PARTS, MATERIALS AND LABOR

Parts and materials required for repairs are not included in the base service fee unless expressly stated. Service Provider shall obtain Client authorization for any repair that will exceed prior to procurement. Labor for authorized repairs will be billed at the rate set forth in the applicable Change Order or estimate signed by Client.

Either party may terminate this Agreement for convenience upon days' prior written notice. Either party may terminate immediately for material breach by the other party if such breach is not cured within fourteen (14) days of written notice. Upon termination Client shall pay Service Provider for all services performed and materials purchased through the effective date of termination.

7. INSURANCE, LIABILITY AND INDEMNIFICATION

Service Provider shall maintain general liability insurance and worker's compensation insurance in amounts customary for the industry. Service Provider is responsible for damage caused by its negligent performance. Client shall indemnify and hold Service Provider harmless from claims arising from conditions at the property that were not disclosed to Service Provider prior to performance of services, including but not limited to hidden hazards, unsafe electrical conditions, or illegal structures.

Except for willful misconduct or gross negligence, neither party shall be liable to the other for incidental, consequential, punitive, or special damages, and the total aggregate liability of either party for any claim arising under this Agreement shall not exceed the total fees paid to Service Provider in the six (6) months immediately preceding the event giving rise to the claim.

8. CONFIDENTIALITY

Each party acknowledges that in connection with this Agreement it may receive confidential information of the other party. Confidential Information shall not include information that: (a) is or becomes publicly known through no breach of this Agreement; (b) is received from a third party without breach of an obligation of confidentiality; or (c) is independently developed without the use of the other party's Confidential Information. Each party shall hold the other's Confidential Information in strict confidence and shall not disclose it to any third party except as required by law. The obligations in this Section shall survive termination of this Agreement for a period of two (2) years.

9. CHANGE ORDERS

Any modification to the Scope of Work, Price, or Schedule must be agreed in writing by both parties and executed as a Change Order. Unauthorized additional work may be invoiced and charged to Client after Client approval.

10. COMPLIANCE WITH LAWS

Service Provider shall comply with all applicable federal, state and local laws, ordinances, and regulations in performing services under this Agreement. Client is responsible for any permits or approvals necessary for repair or alteration work unless otherwise agreed in writing.

11. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles.

12. ENTIRE AGREEMENT

This Agreement, including any written Change Orders signed by both parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, representations, and understandings, whether written or oral. No amendment shall be binding unless executed in writing by both parties.

13. NOTICES

Notices under this Agreement shall be in writing and delivered to the addresses below. Notice is effective upon personal delivery, or three (3) days after deposit with the U.S. mail, postage prepaid, or one (1) day after delivery to a nationwide overnight courier.

ADDITIONAL PROVISIONS

Safety: Service Provider will take reasonable precautions to avoid injury or damage while performing services, but Client must ensure that pets, children, and other hazards are controlled. Client warrants that pool equipment and electrical systems are in safe and operable condition, unless Service Provider has been specifically engaged to inspect or repair those systems.
