WHEREAS

WHEREAS, Service Provider is engaged in the business of pool operation, maintenance, repair and related services; and

WHEREAS, Client owns or controls the property and pool identified above and desires Service Provider to accept turnover of ongoing maintenance responsibilities and transfer knowledge, equipment custody, service records and chemical inventories pursuant to the terms of this document; and

Scope of Work

Service Provider will assume responsibility for routine pool maintenance tasks and turnover of operational information and inventory in accordance with the following scope. The tasks described below are illustrative and may be modified only by written amendment signed by both parties.

Payment Terms

Compensation for maintenance services provided under this turnover and ongoing maintenance engagement shall be as follows.

Term and Termination

This agreement commences on Start Date: and continues until End Date: unless earlier terminated in accordance with this section.

Either party may terminate this agreement for convenience by providing written notice to the other party at least prior to the intended termination date. Material breach that remains uncured for a period of 14 days following written notice by the non-breaching party shall constitute grounds for immediate termination.

Confidentiality

Each party shall maintain in confidence all non-public information reasonably understood to be confidential relating to the other party’s business operations, proprietary processes, pricing, customer lists and trade secrets disclosed in connection with this turnover. Such obligation shall survive termination of this agreement for a period of three (3) years. Confidential information does not include information that is or becomes public other than by breach of this agreement or that is lawfully obtained from a third party without restriction.

Service Provider warrants that services will be performed in a competent, workmanlike manner consistent with industry standards. Except as expressly set forth in a separate written warranty, Service Provider expressly disclaims all other warranties, whether express or implied, including merchantability or fitness for a particular purpose.

Governing Law

This agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law rules.

Entire Agreement

This document, together with any attachments and written amendments signed by both parties, constitutes the entire agreement between the parties regarding the subject matter hereof and supersedes all prior or contemporaneous agreements, representations and understandings, whether written or oral.
