POOL SERVICE AGREEMENT

Parties

Recitals

WHEREAS, Service Provider is duly qualified and experienced in the operation, maintenance, cleaning, inspection and repair of residential and commercial swimming pools and associated equipment; and

WHEREAS, Client desires to engage Service Provider to provide pool services at the Client Property identified above and Service Provider agrees to provide such services under the terms and conditions set forth in this Agreement effective as of .

NOW, THEREFORE, in consideration of the mutual covenants contained herein, and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:

Scope of Work

Service Provider shall perform routine pool maintenance and services at the Client Property including, but not limited to: skimming and debris removal; brushing of pool surfaces; vacuuming; inspection and cleaning of skimmer and pump baskets; testing and adjustment of chemical levels; backwashing filters as required; inspection and minor adjustment of pool equipment; and documentation of performed services. Services do not include repairs beyond minor adjustments unless expressly authorized in writing.

Service Schedule

Regular service visits shall occur according to the selected frequency. Service Provider will make reasonable efforts to perform services on scheduled days; timing may vary due to weather or emergency conditions.

Payment Terms

Client shall pay Service Provider the fees set forth below in consideration of the services performed pursuant to this Agreement. All fees are payable in U.S. Dollars and subject to the terms set forth herein.

Late payments shall incur a late fee equal to if unpaid more than days after the invoice date. Repeated late payments may result in suspension of services until account is brought current.

Term and Termination

This Agreement commences on and shall continue until unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement without cause by providing the other party with at least days' prior written notice. Either party may terminate immediately for material breach if the breach remains uncured after a reasonable cure period not to exceed 14 days following written notice of breach.

Upon termination, Client shall pay Service Provider for all services performed and materials purchased through the effective date of termination. Service Provider may remove its equipment and tools from the Client Property upon termination following payment in full.

Materials, Repairs and Additional Work

Routine supplies (chemicals, minor consumables) are included in the fee only if expressly stated in the payment schedule. Significant repairs or replacement of equipment shall require prior written authorization from Client and will be billed as additional charges at Service Provider's standard rates plus the cost of parts.

Access, Safety and Site Conditions

Client shall provide Service Provider with reasonable, safe access to the pool and associated equipment during normal business hours or at other agreed times. Client shall disclose known hazards, pets, and any chemical storage or equipment issues. Service Provider shall comply with applicable safety standards while on site but is not responsible for latent site conditions not disclosed by Client.

Liability and Insurance

Service Provider shall maintain commercial general liability insurance in amounts customary for the industry. Service Provider's liability for any claim arising under this Agreement shall be limited to direct damages not to exceed the total fees paid by Client to Service Provider under this Agreement in the twelve (12) months preceding the event giving rise to the claim. Neither party shall be liable for incidental, consequential, special or punitive damages.

Client is responsible for securing any homeowner or property insurance covering loss or damage to the pool, structures or personal property, and for taking precautions to prevent unauthorized access to the pool area.

Confidentiality

During the term of this Agreement and for a period of two (2) years thereafter, each party agrees to hold in confidence and not to disclose to any third party any non-public information of the other party regarding business operations, pricing, trade secrets, or customer information that is designated as confidential or that a reasonable person would understand to be confidential given the nature of the information and circumstances of disclosure. This obligation shall not apply to information that is or becomes publicly available through no fault of the receiving party or that is required to be disclosed by law or court order.

Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the state in which the Client Property is located, without regard to choice of law principles. The parties agree to attempt to resolve disputes in good faith through negotiation. If negotiation fails, the parties may pursue any remedy available at law or in equity in the courts of competent jurisdiction in that state.

Entire Agreement; Amendment

This Agreement, including all exhibits and attachments, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior proposals, negotiations, representations, and agreements, whether written or oral. No modification, waiver or amendment of any provision of this Agreement shall be effective unless in writing and signed by both parties.

Miscellaneous Provisions

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. Neither party may assign this Agreement without the prior written consent of the other, except that Service Provider may assign to an affiliate or in connection with a sale of substantially all of its business assets.
