Recitals

WHEREAS, Proposer is in the business of producing, supplying, and operating live concession services for gourmet popcorn, snacks and associated staffing and equipment; and

WHEREAS, Client desires to engage Proposer to supply popcorn products and related services for events, retail placement, or catering engagements on the terms and conditions set forth in this Proposal; and

WHEREAS, the parties agree that this Proposal, when accepted by Client in writing and executed by both parties, will serve as a binding agreement memorializing the services, fees, and other obligations described below. Proposal Date:

Scope of Work

Proposer shall provide popcorn products, associated packaging, on-site preparation, point-of-sale staffing (if elected), equipment, and delivery as described below. Proposer will perform the services in a professional manner consistent with industry standards and applicable health and safety regulations.

Payment Terms

Client agrees to pay Proposer for goods and services rendered in accordance with the schedule and amounts set forth below. All fees are stated in U.S. dollars and exclude applicable sales taxes unless otherwise noted.

All invoices unpaid after the agreed due date shall incur the Late Payment Fee set forth above, and Client shall also be responsible for reasonable collection costs, including attorneys' fees, incurred by Proposer in enforcing payment obligations.

Term and Termination

This Proposal shall commence on the Start Date and, unless earlier terminated in accordance with this section, shall continue through the End Date.

Either party may terminate this agreement for material breach by the other party if the breaching party fails to cure the breach within the notice period specified above following receipt of written notice. Termination shall not relieve Client of obligation to pay for goods or services rendered prior to termination.

Confidentiality

Each party may receive confidential or proprietary information of the other party in connection with this Proposal. "Confidential Information" shall include trade secrets, pricing, customer lists, recipes, processes, and other non-public business information. The receiving party shall:

(a) hold Confidential Information in confidence and not disclose it except to those employees, contractors or agents who have a need to know and who are bound by confidentiality obligations no less restrictive than those contained herein; (b) use Confidential Information only for the performance or evaluation of this Proposal; and (c) take reasonable measures to protect the Confidential Information from unauthorized disclosure. The obligations of confidentiality shall survive termination of this Proposal for the period specified below.

Governing Law

This Proposal shall be governed by and construed in accordance with the laws of the State of , without regard to its conflict of laws principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in that State for any disputes arising under or related to this Proposal.

Entire Agreement

This Proposal, together with any attachments or executed statements of work, represents the entire agreement between the parties regarding the subject matter hereof and supersedes all prior proposals, negotiations, and understandings, whether written or oral. Any modification to this Proposal must be in writing and signed by authorized representatives of both parties.

Acceptance
