Portable Alarm Usage Agreement

This Portable Alarm Usage Agreement (the "Agreement") is entered into on by and between Provider Name: and Client Name: .

WHEREAS

WHEREAS, Provider deploys, supplies, and supports portable alarm units designed for temporary security and monitoring purposes; and

WHEREAS, Client desires to obtain the temporary use of one or more portable alarm units subject to the terms and conditions set forth in this Agreement; and

WHEREAS, Provider and Client agree to allocate responsibilities for installation, maintenance, operation and payment as set forth below.

SCOPE OF WORK

Provider will furnish, install (if agreed), activate and monitor portable alarm unit(s) described below. Provider's obligations are limited to those expressly set forth herein; Client is responsible for on-site placement and daily operation unless installation by Provider is expressly selected.

PAYMENT TERMS

Client shall pay Provider the fees set forth below in consideration for the provision and use of the portable alarm unit(s). All payments are due in U.S. dollars and are exclusive of applicable taxes which shall be paid by Client unless a valid exemption is provided in writing.

Any payment not received within ten (10) days of the due date will be considered delinquent. Delinquent amounts shall accrue interest at the rate stated above and Client shall be responsible for Provider's reasonable collection costs, including attorneys' fees.

TERM AND TERMINATION

This Agreement commences on and, unless earlier terminated in accordance with this Agreement, continues until .

Either party may terminate this Agreement for material breach if such breach is not cured within the notice period specified above after receipt of written notice. Provider may terminate immediately for nonpayment or for actions by Client that jeopardize the safety or integrity of the equipment.

CONFIDENTIALITY

Each party acknowledges that it may receive confidential information of the other party (including alarm settings, event logs, security protocols and contact data). Each party shall: (a) hold such information in strict confidence; (b) use it solely to perform its obligations under this Agreement; and (c) not disclose it to any third party except as required by law or to those employees, contractors or agents who have a need to know and are bound by confidentiality obligations no less protective than those hereunder. Confidentiality obligations survive termination for a period of three (3) years.

LIMITATIONS, LIABILITY AND INDEMNIFICATION

Provider's liability for direct damages arising from Provider's negligence or breach shall be limited to the total fees paid by Client under this Agreement in the twelve (12) months preceding the claim. Neither party shall be liable for consequential, incidental, special or punitive damages. Client shall indemnify, defend and hold Provider harmless from third-party claims arising from Client's misuse, negligence, failure to maintain equipment, or unauthorized modification of alarm units.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state selected below, without regard to conflict of law principles.

ENTIRE AGREEMENT

This Agreement, together with any written attachments and schedules signed by the parties, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior negotiations, representations and proposals, whether written or oral. Any amendment or waiver must be in writing and signed by both parties.

MISCELLANEOUS

Notices required under this Agreement shall be in writing and delivered to the contact addresses provided above. If any provision is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. Headings are for convenience only and do not affect interpretation.
