What a Post Production Services Agreement Covers

A Post Production Services Agreement is a written contract that defines the scope, schedule, deliverables, payment terms, intellectual property ownership, warranties, and liability between a client and a post-production provider. Typical services covered include editing, color grading, sound design, visual effects, and final deliverable formatting. The agreement allocates responsibilities for source material, review cycles, change requests, and archival copies. Well-drafted terms reduce disputes by clarifying milestones, acceptance procedures, licensing of final media, and remedies for missed deadlines or defective work.

Why this Agreement Matters for Production Work

A clear Post Production Services Agreement protects both parties by defining deliverables, payment schedule, intellectual property rights, and acceptance criteria; it reduces disputes and supports enforceability under ESIGN and UETA when signed electronically.

Why this Agreement Matters for Production Work

Who Typically Uses a Post Production Services Agreement

The agreement serves multiple stakeholders across production workflows and company sizes.

  • Independent post houses and freelancers who need clear payment, revision, and IP terms before beginning work.
  • In-house production teams and creative agencies contracting external vendors for specialized finishing services.
  • Clients such as studios, brands, or advertising agencies that require acceptance criteria and delivery warranties.

Use the agreement to set expectations early and document review cycles, delivery formats, and ownership.

Essential Clauses to Include

A professional agreement isolates core legal and operational points so both parties understand obligations, timelines, and remedies.

Scope of Work

Detailed description of services, deliverable formats, number of revisions, and final file specifications to avoid scope creep.

Schedule & Milestones

Clear calendar dates for rough cuts, client reviews, approvals, and final delivery including consequences for missed milestones.

Payment Terms

Fees, deposit amounts, invoicing cadence, late payment interest, and any retainers or milestone-based releases.

Intellectual Property

Who owns raw assets, final masters, and licenses granted for distribution; include transfer or limited license language.

Warranties & Indemnities

Representations about rights to use supplied materials and indemnities for third-party claims or IP infringement.

Termination & Remedies

Conditions for termination, cure periods, refund/credit rules, and liability caps for direct or consequential damages.

Step-by-Step: Completing and Executing the Agreement

Follow these core steps to prepare, review, and sign the agreement efficiently.

  • 01
Prepare Draft: Populate parties, scope, schedule, and fees.
  • 02
Internal Review: Legal and production teams verify terms and deliverable specs.
  • 03
Client Review: Send to client for comment and agree on revision limits.
  • 04
Execute: Sign electronically or in writing once final terms are accepted.

Configuring an Online Signing Workflow

Set up the digital workflow to match your internal review and approval steps for secure, auditable signing.

Field Configuration
Signature Field Require date and printed name with each signature.
Authentication Use email plus SMS code for higher assurance.
Routing Order Set signers in sequence or parallel per approval needs.
Notifications Enable reminders and completion receipts for all parties.

Where to Send and How to Deliver Final Materials

Clarify delivery endpoints and methods to avoid delays or lost files.

  • Master Files: Deliver via secure cloud link or managed FTP with access credentials.
  • Review Copies: Share watermarked review proxies for client approval rounds.
  • Closed Captions: Provide separate caption files in required formats (SRT, VTT).
  • Asset Transfer: Document transfer method and confirm receipt in writing.

Digital Signing and Technical Requirements

Use an eSignature platform that supports secure audit trails and the authentication level your project requires.

  • File Formats: PDF, DOCX accepted
  • Integrations: Supports Google Workspace and Microsoft 365
  • Authentication: Email, SMS, or advanced methods

Ensure the chosen platform meets industry compliance needs (for example, HIPAA or 21 CFR Part 11) and preserves audit records.

Security and Compliance Considerations

Encryption: TLS 1.2/1.3 in transit
Data at Rest: AES-256 encrypted storage
Certifications: SOC 2 Type II; ISO 27001
Regulatory: ESIGN, UETA compliance
HIPAA: BAA required for PHI workflows
Audit Trail: Full timestamps and action logs

Key Legal Risks if the Agreement Is Incorrect

Breach Liability: Monetary damages and contractual remedies
IP Misallocation: Loss of ownership or unclear licensing
Late Delivery Exposure: Credits, liquidated damages, or termination
Indemnity Gaps: Uninsured third-party claims
Compliance Failures: HIPAA or regulatory penalties where applicable
Enforceability: Invalid signature or improper authorization

Common Mistakes to Avoid

  • Vague scope language that leaves deliverables or revisions undefined, leading to disputes over additional charges or timelines.
  • Missing or incorrect party names, causing confusion about which entity is bound and complicating enforcement or payment collection.
  • Failing to define ownership of raw footage and finished masters, which can result in unexpected licensing battles or reuse restrictions.
  • Skipping acceptance criteria and sign-off procedures, which extends delivery cycles and increases disagreement over whether work is complete.

Real-World Scenarios Where This Agreement Helps

Two typical scenarios show how precise terms streamline delivery, payment, and IP transfers across projects.

Independent Post House

A small post company edits a commercial under a tight schedule with specified revision rounds and deliverable formats.

  • The agreement limits revisions to two rounds and sets payment on final acceptance.
  • As a result, billing disputes are minimized, the project met broadcast specs, and the client received unambiguous reuse rights for the final spot.

In-House Studio

An in-house team contracts a VFX vendor for episodic work with recurring deliverables and confidentiality needs.

  • The contract requires encrypted file transfers and an NDA appendix.
  • This protected raw assets, ensured compliance with brand guidelines, and clarified ownership so downstream licensing was uncontested.

Practical Tips for Cleaner Agreements

Adopt these practices to reduce negotiation time and improve operational handoffs for post-production.

Standardize Deliverable Specs
Use a project appendix with clear technical specs (codec, resolution, color space, file naming) so vendors know exact acceptance criteria and fewer iterations are needed.
Limit Revision Rounds
State a fixed number of review cycles and per-change hourly rates to keep timelines predictable and discourage open-ended changes that inflate cost.
Use Clear Acceptance Criteria
Define the review process, approval signers, and final acceptance mechanics to prevent disagreements over whether deliverables meet contractual standards.
Address Backup & Archival
Specify which party archives masters, for how long, and who pays retrieval costs to avoid future disputes over lost assets.

Typical Timelines and Deadlines to Specify

Include explicit dates or business-day counts to align production schedules and payment triggers.

Rough Cut Delivery:

Deliver rough cut within 10 business days after receiving source materials.

Client Review Window:

Provide 5 business days for review and consolidated feedback per revision round.

Final Delivery:

Final masters delivered within 7 business days after approval of last revision.

Payment Due:

Net 30 days from invoice or as per milestone schedule.

Change Request Deadline:

Submit change requests within 3 business days of delivery to qualify for scheduled revision round.

Who Signs and Who Authorizes

Client Authorizing Officer

Typically a senior marketing or legal representative with authority to bind the client entity. This signer confirms scope, approves budgets, and issues final acceptance of deliverables under the contract terms.

Post Production Lead

A company officer or director of operations at the post house who can commit resources, accept delivery timelines, and authorize transfer or license of final masters on behalf of the provider.
