What a Post-sale Agreement is and when it applies

A Post-sale Agreement documents the rights and obligations that continue after a sale closes, including warranty terms, delivery and acceptance conditions, payment reconciliation, title transfer confirmations, and post-closing remedies. It formalizes expectations between buyer and seller for items such as defects, returns, service obligations, and final settlement. Post-sale Agreements are used across transactions that require ongoing performance or risk allocation after the primary sales contract or invoice has been executed, and they can be executed electronically where permitted by law.

Why a clear Post-sale Agreement matters to both parties

A concise Post-sale Agreement reduces disputes, clarifies timelines for acceptance and remedies, and preserves evidence of obligations. When properly executed it supports enforceability under the ESIGN Act (15 U.S.C. ch. 96) and applicable state UETA statutes, while establishing practical processes for returns, credits, and warranty claims.

Why a clear Post-sale Agreement matters to both parties

Who typically prepares or signs a Post-sale Agreement

Parties and professionals who commonly use Post-sale Agreements are listed below to clarify typical roles and responsibilities.

  • Sellers and account managers: Prepare terms on delivery, acceptance, warranty, and invoicing; coordinate signatory authority and fulfillment details.
  • Buyers and procurement teams: Confirm acceptance criteria, inspection windows, and remedies; verify payment conditions before signing.
  • Legal and finance advisers: Review indemnities, tax implications, and statutory requirements to ensure enforceability and accounting accuracy.

Identifying the right participants early speeds execution and reduces downstream disputes.
