Recitals

WHEREAS, the parties intend that this Agreement allocate the parties' rights and responsibilities with respect to performance standards, confidentiality, indemnity, and compliance with applicable postal regulations.

Scope of Work

Service Levels and Deliverables: Contractor shall perform services in accordance with the schedule, volumes, handling procedures, and performance metrics set forth in the Scope of Work. Contractor shall maintain records documenting all shipments, returns, and handling actions and shall permit Postal Service Entity reasonable access to those records upon request for audit and compliance purposes.

Payment Terms

Late Payment: Any undisputed amount not paid when due shall accrue interest at the rate of , or the maximum rate permitted by law, whichever is lower, calculated from the date such payment was due until paid. Postal Service Entity may withhold undisputed amounts pending good-faith resolution of any billing dispute.

Term and Termination

Termination for Convenience: Either party may terminate this Agreement for convenience upon written notice delivered at least days prior to the effective date of termination.

Confidentiality

Definition of Confidential Information: "Confidential Information" means non-public business, technical, pricing, and operational information disclosed by one party to the other in connection with this Agreement, whether disclosed orally, in writing, or by inspection, and identified as confidential or that reasonably should be understood to be confidential.

Obligations: Each party agrees to: (a) hold Confidential Information in strict confidence; (b) use Confidential Information solely to perform its obligations under this Agreement; and (c) restrict disclosure of Confidential Information to employees, agents, and subcontractors who have a need to know and are bound by confidentiality obligations at least as protective as those set forth herein. The obligations in this section do not apply to information that is publicly known without breach of this Agreement, independently developed, or rightfully received from a third party without restriction.

Compliance, Insurance, and Indemnity

Compliance: Contractor shall perform services in compliance with all applicable postal regulations, laws, and safety standards. Contractor shall obtain and maintain all licences and permits required for the performance of services.

Insurance: Contractor shall maintain insurance coverage customary for postal services operations, including commercial general liability and cargo/bailee coverage in amounts sufficient to cover loss or damage to mail and shipments. Contractor shall provide certificates of insurance upon request.

Indemnification: Contractor shall indemnify, defend, and hold harmless Postal Service Entity and its officers, employees, and agents from and against all third-party claims, liabilities, losses, damages, and expenses (including reasonable attorneys’ fees) arising out of or resulting from Contractor's performance of services, except to the extent caused by Postal Service Entity's negligence or willful misconduct.

Limitation of Liability

Except for liability arising from gross negligence, willful misconduct, or indemnification obligations, neither party shall be liable to the other for consequential, incidental, special, or punitive damages. The aggregate liability of either party for direct damages arising under this Agreement shall not exceed the total fees paid or payable to Contractor under this Agreement in the 12 months preceding the claim.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to its conflicts of law principles. The parties consent to the exclusive jurisdiction and venue of the state and federal courts located in that state for disputes arising under this Agreement.

Entire Agreement; Amendment

This Agreement, including any attachments and the Scope of Work, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous negotiations and agreements, whether written or oral. Any amendment or modification of this Agreement must be in writing and signed by both parties.
