What the Postmoney Safe Draft Agreement Is

The Postmoney Safe Draft Agreement is a short-form convertible security used by startups to accept investment in exchange for a future equity stake calculated on a post-money basis. It sets the investor's purchase amount, post-money valuation cap or discount, conversion triggers, and basic representations and covenants. The template streamlines early-stage financings by documenting conversion mechanics and ownership percentages without immediate stock issuance, but it does not replace tax or legal advice for complex securities or regulatory questions.

Why use a Postmoney Safe Draft Agreement

A postmoney SAFE clarifies investor ownership immediately after investment, simplifies cap table math, and reduces negotiation on interim valuation. It is commonly used to speed seed financings and provide standard conversion terms while deferring equity issuance until a priced round.

Why use a Postmoney Safe Draft Agreement

Who typically completes a Postmoney Safe Draft Agreement

Parties should coordinate counsel review and tax advice before executing to confirm securities compliance and tax treatment.

  • Founders and startup executives preparing seed round documents for investors and counsel review.
  • Angel investors and early-stage funds documenting purchase amounts and conversion mechanics.
  • Company legal counsel or contract managers ensuring consistency across multiple investor transactions.

Typical signers and their roles

Founder

Chief executive or authorized officer signs on behalf of the issuing company. Ensure corporate authority is documented and signatory name matches formation records to avoid later challenges.

Investor

Individual accredited investor or institutional representative signs for the purchaser. Confirm accredited status and include entity authorization if signing for a fund or SPV.

Core elements to include in the draft

A professional Postmoney Safe Draft Agreement is concise but must clearly specify conversion mechanics, valuation terms, and the conditions under which conversion occurs.

Parties

Clearly identify the issuing company and investor by full legal name and entity type, including state of formation and organizational identifiers where applicable.

Purchase Amount

Record the dollar amount paid by the investor and whether multiple closings are allowed, including wiring instructions or escrow arrangements if applicable.

Post-money Cap

State the post-money valuation cap explicitly and show the calculation method used to determine the investor's percentage ownership after the financing.

Discount Rate

Include any discount to the next round price and explain how the discount interacts with the valuation cap on conversion.

Conversion Triggers

Specify events causing conversion (qualified financing, liquidity event, dissolution) and the formulas used for share issuance at conversion.

Representations

Include standard company and investor reps regarding authority, securities compliance, accredited status, and absence of conflicts or encumbrances.

Required fields and short-entry guidance

Investor Name: Full legal name
Company Name: Entity name on formation documents
Purchase Amount: USD amount, no commas
Valuation Cap: Post-money USD cap
Conversion Terms: Trigger descriptions
Effective Date: MM/DD/YYYY format

Key risks and legal consequences of errors

Misstated Cap: Incorrect ownership allocation
Missing Signatures: Potential unenforceability
Incorrect Dates: Performance or statute issues
Securities Violations: Regulatory enforcement risk
Tax Misreporting: IRS penalties possible
Ambiguous Terms: Future conversion disputes

Common preparation mistakes to avoid

  • Failing to confirm corporate authority and delivering an unsigned, later ratified document can create disputes about enforceability and who is authorized to bind the company.
  • Omitting the post-money calculation method or failing to show sample math leaves room for differing interpretations of investor ownership percentages.
  • Using inconsistent entity names between the SAFE and company formation records can delay closings and complicate capitalization table updates.
  • Neglecting securities compliance steps (private placement legend, accredited investor verification, Form D filing) increases regulatory and investor risk.

How to complete the Postmoney Safe Draft Agreement

Follow these practical steps to prepare and finalize the draft agreement for execution with minimal errors.

  • 01
Review template: Read all conversion and cap table provisions first.
  • 02
Fill parties: Enter legal names and entity details exactly.
  • 03
Add financials: Record purchase amount, cap, and discount.
  • 04
Execute: Sign, date, and distribute executed copies.

From signing to conversion: process overview

A Postmoney SAFE typically moves from execution through funding to future conversion; below are the sequential stages.

  • Execution: Parties sign the SAFE and set the effective date.
  • Funding: Investor transfers purchase amount to company account.
  • Recordkeeping: Company updates cap table and retains signed copy.
  • Conversion Event: On qualified financing, SAFE converts per agreed formulas.

Practical tips for accurate completion

Apply the following best practices to reduce ambiguity and downstream disputes when using a postmoney SAFE template.

Double-check legal names and authority
Confirm the company name and the signer's authority against formation documents and board resolutions; mismatches can invalidate the agreement or delay enforcement and capitalization adjustments.
Document the conversion math
Include an explicit formula and worked example that shows how the post-money cap converts to shares at conversion to avoid differing interpretations during a priced round.
Include securities compliance steps
Record accredited investor verification and reserve necessary filings such as Form D when filing is required; documenting compliance reduces regulatory exposure and investor disputes.
Retain executed originals and PDFs
Keep both a signed original and a certified electronic copy with a complete audit trail to support enforceability, reproducibility, and future fundraising transparency.
