POWER FACTOR SERVICE CONTRACT

This Power Factor Service Contract ("Contract") is entered into as of Effective Date: by and between:

WHEREAS

WHEREAS, Client operates electrical equipment and facilities that may benefit from correction of power factor through installation, calibration, and ongoing management of corrective equipment and controls; and

WHEREAS, Service Provider has the technical capability, experience, and personnel to supply power factor correction services, including design, installation, testing, metering, and preventive maintenance of power factor correction equipment ("Equipment"); and

WHEREAS, the parties desire to set forth the terms and conditions under which Service Provider will provide such services to Client.

SCOPE OF WORK

Service Provider shall provide the services described below. The detailed scope shall include equipment specification, installation tasks, metering requirements, testing protocols, acceptance criteria, and scheduled maintenance. Client and Service Provider agree that work performed outside this scope shall require a written change order executed by authorized representatives of both parties.

PAYMENT TERMS

Client shall pay Service Provider for the services and Equipment in accordance with the following terms:

Late payments shall incur interest as set forth below and Service Provider may suspend services for overdue amounts after providing the required notice.

TERM AND TERMINATION

This Contract shall commence on Start Date: and, unless earlier terminated in accordance with this Contract, shall continue until End Date: .

Either party may terminate this Contract for cause upon written notice if the other party materially breaches any obligation and fails to cure within the Notice Period: days following receipt of written notice. Either party may also terminate without cause by providing written notice as set forth above.

CONFIDENTIALITY

Each party acknowledges that in the course of performance it may receive Confidential Information of the other party. "Confidential Information" includes technical data, specifications, designs, metering results, pricing, business plans, and other non-public information. Each party shall (i) hold Confidential Information in strict confidence, (ii) use Confidential Information solely to perform its obligations under this Contract, and (iii) restrict disclosure to those employees, contractors, or agents with a need to know who are bound by confidentiality obligations no less restrictive than those herein.

Confidential Information does not include information that is (a) already known to the receiving party without obligation of confidentiality, (b) becomes publicly known through no breach by the receiving party, (c) is rightfully obtained from a third party without restriction, or (d) is independently developed without use of the disclosing party's Confidential Information.

PERFORMANCE, TESTING AND ACCEPTANCE

Service Provider shall perform commissioning and testing of installed Equipment in accordance with industry standards and the agreed acceptance criteria set forth in the Scope of Work. Acceptance shall be deemed to occur after successful completion of agreed tests and Client's issuance of written acceptance or upon lapse of the agreed acceptance period absent timely written rejection with substantiated test results.

INSURANCE, INDEMNITY AND LIMITATION OF LIABILITY

Service Provider shall maintain insurance customary for the work performed, including general liability and worker's compensation. Each party agrees to indemnify and hold the other harmless from third-party claims arising from its negligence or willful misconduct. Except for liability arising from gross negligence or willful misconduct, the aggregate liability of either party under this Contract shall not exceed the total fees paid by Client to Service Provider under this Contract during the preceding twelve (12) months.

TAXES

All fees and charges under this Contract are exclusive of taxes. Client shall be responsible for sales, use, excise, and other taxes imposed on the services, excluding taxes based on Service Provider's net income.

NOTICES

All notices required or permitted under this Contract shall be in writing and delivered to the addresses set forth below or to such other address as either party may designate by written notice.

GOVERNING LAW

This Contract shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of law principles.

ENTIRE AGREEMENT

This Contract, including any attachments and executed change orders, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, representations, and understandings, whether written or oral. No amendment or modification shall be effective unless in writing and signed by authorized representatives of both parties.

MISCELLANEOUS

If any provision of this Contract is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. Neither party may assign this Contract without the prior written consent of the other, except to an affiliate or successor in interest. Headings are for convenience only and shall not affect interpretation.
