What a Power Generation Agreement Covers

A Power Generation Agreement is a formal contract between parties who develop, operate, or purchase electrical generation capacity. It defines scope of work, equipment and performance standards, energy output or capacity commitments, pricing or payment terms, interconnection and grid compliance, maintenance and metering responsibilities, insurance and indemnity, and the agreement term and termination rights. Such agreements are used for utility-scale plants, distributed generation projects, and power purchase arrangements, and they allocate commercial, technical, and regulatory risks between the seller, buyer, and any project contractors or lenders.

Why a Carefully Drafted Agreement Matters

Clear, complete Power Generation Agreements reduce operational disputes, clarify revenue and payment triggers, and document compliance obligations tied to interconnection and permitting. Well-defined terms protect project finance, allocate performance risk, and set procedures for change orders, outages, and force majeure.

Why a Carefully Drafted Agreement Matters

Who Typically Prepares and Signs This Agreement

Multiple stakeholders collaborate on a Power Generation Agreement; responsibilities vary by project role and organizational function.

  • Project Developer or Sponsor: Drafts commercial terms, secures permits, and coordinates financing; typically leads negotiations and final approvals.
  • Utility or Offtaker: Reviews delivery, metering, and payment provisions; requires internal procurement and regulatory sign-off before execution.
  • EPC Contractor or Operator: Confirms scope, commissioning milestones, warranties, and O&M responsibilities; signs where construction or operation obligations apply.

Confirm who has authority to bind each party and document signature authority before execution to avoid later disputes.
