POWER OF ATTORNEY

RECITALS

WHEREAS, Principal desires to grant Agent authority to act for Principal in specified matters when Principal is unavailable or otherwise unable to act personally; and

NOW, THEREFORE, Principal hereby grants to Agent the powers set forth in this Power of Attorney, subject to the terms and limitations contained herein.

1. APPOINTMENT AND GENERAL GRANT OF AUTHORITY

Principal appoints Agent as Principal's true and lawful attorney-in-fact with full power and authority to act in Principal's name, place and stead in any way which Principal could do if personally present, with respect to the matters described below. The powers granted include, without limitation, the powers expressly enumerated in Section 2 and such incidental powers as are reasonably necessary to carry out the specific powers granted.

3. LIMITATIONS AND CONDITIONS

The authority granted to Agent shall not extend to acts expressly prohibited in writing by Principal. Agent shall not make gifts or transfer assets to Agent or Agent's relatives in excess of customary annual exclusion amounts unless Principal has explicitly authorized such transfers in Special Instructions. Agent shall not exercise any power for any purpose contrary to the law or to the known intent of Principal.

4. EFFECTIVE DATE AND TERM

This Power of Attorney shall become effective on and shall continue in effect until unless earlier revoked by Principal in a signed writing delivered to Agent.

5. AGENT'S OBLIGATIONS, STANDARDS, AND COMPENSATION

Agent shall act loyally for the Principal's benefit, keep accurate records of all transactions undertaken as Agent, and promptly render accountings upon reasonable request. Agent shall exercise reasonable care, diligence and prudence in carrying out the duties conferred. Unless otherwise agreed in writing, Agent is authorized to be reimbursed from Principal's assets for reasonable expenses incurred and may be compensated in the amount specified below.

6. THIRD-PARTY RELIANCE AND INDEMNIFICATION

Third parties may rely upon a copy of this Power of Attorney and shall be protected in so acting. Any person or entity that accepts and acts in reliance upon this instrument shall not be required to inquire into the validity of actions taken by Agent. Principal agrees to indemnify and hold harmless any third party who acts in good faith reliance on this Power of Attorney from any loss, liability, or expense resulting from such reliance.

7. REVOCATION

Principal may revoke this Power of Attorney at any time by delivering a written notice of revocation to Agent. Revocation will not affect any actions taken by Agent in reliance on this Power of Attorney prior to the receipt of notice by third parties.

8. NOTICES

Any notice or communication required or permitted under this Power of Attorney shall be in writing and delivered to the addresses set forth below or to such other address as either party designates by written notice to the other.

9. AMENDMENT; WAIVER; COUNTERPARTS

This Power of Attorney may be amended or revoked only by a written instrument signed by Principal. No failure or delay by any party in exercising any right will operate as a waiver thereof. This instrument may be executed in counterparts, each of which will be deemed an original and all of which together constitute one and the same instrument.

10. GOVERNING LAW

This Power of Attorney shall be governed by and construed in accordance with the laws of the state identified by Principal's address without regard to conflict of law principles.

11. ENTIRE AGREEMENT

This document constitutes the entire agreement between Principal and Agent with respect to the subject matter hereof and supersedes all prior oral or written agreements relating to the powers granted herein.

12. SEVERABILITY

If any provision of this Power of Attorney is held invalid or unenforceable, such invalidity or unenforceability will not affect the remaining provisions, which will continue in full force and effect.
