Termination for Convenience: Either party may terminate this Agreement upon written notice to the other party delivered at least days prior to the proposed termination date. Termination shall not relieve either party of obligations incurred prior to termination.

Termination for Cause: Either party may terminate immediately for material breach by the other party if such breach remains uncured for a period of ten (10) calendar days after written notice of breach.

CONFIDENTIALITY

Confidential information shall not be disclosed to third parties except to those employees, contractors or agents who have a need to know and who are bound by confidentiality obligations at least as protective as those contained herein. Confidential information does not include information that is or becomes public through no breach by the receiving party or that is required to be disclosed by law, provided the disclosing party is given prompt notice to seek protective measures.
