POWER SYSTEMS AGREEMENT

This Power Systems Agreement (the Agreement) is entered into as of Effective Date: by and between:

RECITALS

WHEREAS, Service Provider is engaged in the design, supply, installation, testing and commissioning of power systems, which may include generators, uninterruptible power supplies, battery energy storage, associated switchgear and control systems (Power Systems); and

WHEREAS, Client desires to retain Service Provider to furnish and perform the Power Systems work as further described in this Agreement and Provider agrees to perform such work under the terms and conditions set forth herein.

WHEREAS, the parties intend that obligations for performance, payment, confidentiality, insurance and indemnity be set forth in this Agreement.

SCOPE OF WORK

Service Provider shall perform the scope of work described below. The scope includes, but is not limited to, design, procurement, delivery, installation, testing, commissioning and training as applicable. Details, specifications, deliverables, and acceptance criteria shall be set forth in the space below.

PAYMENT TERMS

Invoices are due and payable within days of receipt. Late payments shall accrue interest at the rate of % per month (or the maximum lawful rate if lower), plus costs of collection.

TERM AND TERMINATION

This Agreement commences on Start Date: and, unless earlier terminated in accordance with this Agreement, expires on End Date: .

Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure such breach within days after written notice. Either party may terminate for convenience upon providing days prior written notice. Termination shall not relieve Client of payment obligations for work performed or services rendered prior to termination.

CONFIDENTIALITY

Each party (Recipient) shall keep confidential, and shall not use or disclose to any third party without prior written consent of the disclosing party (Discloser), any confidential or proprietary information disclosed by Discloser in connection with this Agreement, except to the extent required by law or to perform this Agreement. Confidential information includes technical data, designs, drawings, specifications, pricing and business information, but excludes information that is or becomes publicly known through no breach by Recipient or is rightfully received from a third party without restriction.

Confidentiality obligations shall survive termination of this Agreement for years.

WARRANTY; INSURANCE; INDEMNITY

Service Provider warrants that equipment supplied will be new (unless otherwise stated), free from defects in material and workmanship, and will conform to applicable specifications for a period of months from substantial completion. Service Provider shall, at its expense, repair or replace nonconforming equipment or workmanship discovered during the warranty period.

Service Provider shall maintain commercial general liability, professional liability (if applicable), and workers' compensation insurance in customary amounts and shall provide evidence of such insurance upon Client's request.

Each party shall indemnify, defend and hold harmless the other party from and against claims, damages, liabilities and expenses (including reasonable attorneys' fees) arising out of the indemnifying party's negligence or willful misconduct in connection with this Agreement, subject to any limitations of liability set forth below.

LIMITATION OF LIABILITY

Except for liability arising from gross negligence or willful misconduct, or obligations of indemnity or confidentiality, neither party shall be liable to the other for incidental, consequential, special or punitive damages. The aggregate liability of each party for direct damages arising out of or in connection with this Agreement shall not exceed the total Contract Price paid by Client to Service Provider under this Agreement.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles.

ENTIRE AGREEMENT

This Agreement, including any exhibits, attachments and approved change orders, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior agreements, representations and understandings, whether written or oral. Any modification must be in writing and signed by authorized representatives of both parties.
